SUBLEASE AGREEMENT

THIS SUBLEASE AGREEMENT (the "Agreement") is made and entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

RECITALS

WHEREAS, Sublessor is the tenant under that certain Master Lease dated [Master Lease Date] (the "Master Lease") by and between [Master Landlord Name] ("Master Landlord") and Sublessor, concerning the premises located at [Full Property Address] (the "Premises"); and

WHEREAS, Sublessor desires to sublease to Sublessee, and Sublessee desires to sublease from Sublessor, a portion of the Premises consisting of [Square Footage/Description of Area] (the "Subleased Premises");

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1 "Master Lease" shall mean the primary lease agreement between Master Landlord and Sublessor, which is incorporated herein by reference. 1.2 "Base Rent" shall mean the monthly sum of $[Dollar Amount] payable by Sublessee to Sublessor. 1.3 "Security Deposit" shall mean the sum of $[Dollar Amount] to be held as collateral for the faithful performance of this Agreement. 1.4 "Term" shall mean the period commencing on [Start Date] and expiring on [End Date], unless terminated earlier in accordance with the provisions of this Agreement. 1.5 "Permitted Use" shall mean [Define scope, e.g., general office use], and no other use without prior written consent.

2. SUBSTANTIVE TERMS AND OBLIGATIONS

2.1 Grant of Sublease: Sublessor hereby subleases the Subleased Premises to Sublessee, subject to the terms and conditions of the Master Lease. 2.2 Rent Payments: Sublessee shall pay Base Rent to Sublessor on the [Day, e.g., 1st] day of each calendar month. 3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Events of Default: A party shall be in default if it fails to observe or perform any material covenant or condition of this Agreement. 3.2 Notice and Cure: In the event of a breach, the non-breaching party shall provide written notice of such breach. The breaching party shall have a period of thirty (30) business days from the receipt of such notice to cure the breach. 3.3 Remedies: If the default is not cured within the cure period, the non-breaching party may: (a) terminate this Agreement upon written notice; (b) pursue any and all remedies available at law or in equity; and (c) retain the Security Deposit to offset damages incurred as a result of the breach. 3.4 Holdover: If Sublessee remains in possession after the expiration of the Term, Sublessee shall be liable to Sublessor for [Percentage, e.g., 150%] of the then-current Base Rent for each month or part thereof.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 4.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements or understandings, whether oral or written. 4.3 Force Majeure: Neither party shall be liable for failure to perform its obligations under this Agreement if such failure is caused by an act of God, war, riot, embargo, or other event beyond the reasonable control of the affected party. 4.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. 4.5 Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be settled by binding arbitration in [City, State] in accordance with the rules of the American Arbitration Association.
