  8. "Term" means the duration of this Agreement, commencing on the Commencement Date and expiring on the Expiration Date, unless sooner terminated in accordance with the provisions hereof.

3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Grant of Sublease and Term

Sublessor hereby subleases to Sublessee, and Sublessee hereby takes from Sublessor, the Subleased Premises, subject to the terms and conditions of this Agreement. The Term of this Sublease shall commence on [Commencement Date] (the "Commencement Date") and shall expire on [Expiration Date] (the "Expiration Date"), unless terminated earlier pursuant to the provisions of this Agreement or the Master Lease.

3.2 Rent and Payment Mechanics

  1. Base Rent: Sublessee shall pay to Sublessor as Base Rent the sum of [Dollar Amount] per month, payable in advance on or before the first (1st) day of each calendar month during the Term. If the Term commences on a day other than the first day of a calendar month, the Base Rent for such fractional month shall be prorated on a per diem basis.
  2. Additional Rent: Sublessee shall pay as Additional Rent all utility costs, telecommunication charges, and any increase in operating expenses or real estate taxes attributable to the Subleased Premises as calculated by Sublessor or Master Landlord, payable within ten (10) days of receipt of an invoice.
  3. Late Charges & Interest: Any installment of Base Rent or Additional Rent not received by Sublessor by the fifth (5th) day of the calendar month shall be subject to a late charge of [Percentage, e.g., 5]% of the overdue amount. In addition, delinquent amounts shall accrue interest at the rate of [Interest Rate, e.g., 1.5]% per month, or the maximum rate permitted by New Jersey law, whichever is less, from the date due until paid in full.
  4. Payment Destination: All payments shall be delivered to Sublessor at the address set forth in the preamble or via electronic wire transfer pursuant to instructions provided separately by Sublessor.

3.3 Use of Subleased Premises

The Subleased Premises shall be used and occupied exclusively for [Permitted Commercial Use, e.g., general executive office purposes] and for no other purpose whatsoever. Sublessee shall comply with all applicable federal, state, county, and municipal laws, ordinances, rules, and regulations of the State of New Jersey, as well as all rules and regulations established by Master Landlord.

3.4 Security Deposit

Upon execution of this Agreement, Sublessee shall deposit with Sublessor the sum of [Dollar Amount] as a Security Deposit. The Security Deposit shall be held by Sublessor as security for the faithful performance by Sublessee of all terms, covenants, and conditions of this Agreement. Sublessor shall hold and maintain the Security Deposit in accordance with N.J.S.A. 46:8-19 et seq., if applicable. If Sublessee defaults in the full and timely performance of any provision hereof, Sublessor may apply all or part of the Security Deposit to cure such default, without prejudice to any other remedy available to Sublessor.

3.5 Condition of Premises and Maintenance

  1. As-Is Acceptance: Sublessee acknowledges that it has inspected the Subleased Premises and accepts the same in its "AS-IS, WHERE-IS" condition as of the Commencement Date, with all faults, and without any representation or warranty by Sublessor whatsoever, express or implied.
  2. Maintenance Obligations: Sublessee shall, at its sole cost and expense, maintain the interior of the Subleased Premises in a clean, safe, and sanitary condition, and shall promptly repair any damage caused by Sublessee, its employees, agents, invitees, or contractors.

3.6 Insurance and Indemnification

  1. Sublessee’s Insurance: Sublessee shall, at its sole cost and expense, maintain throughout the Term commercial general liability insurance naming Sublessor and Master Landlord as additional insureds, with minimum limits of [Dollar Amount, e.g., $1,000,000] per occurrence and [Dollar Amount, e.g., $2,000,000] in the aggregate.
  2. Indemnification: Sublessee shall defend, indemnify, and hold harmless Sublessor and Master Landlord from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any breach or default by Sublessee under this Agreement; (b) any negligence or willful misconduct of Sublessee or its agents, employees, or invitees; or (c) any injury to persons or property occurring within the Subleased Premises.

3.7 Master Lease Integration and Subordination

  1. This Agreement is subordinate in all respects to the Master Lease. Sublessee expressly assumes and agrees to perform all obligations of Sublessor under the Master Lease to the extent applicable to the Subleased Premises, except as expressly modified herein.
  2. If the Master Lease terminates for any reason whatsoever, this Sublease shall automatically terminate simultaneously therewith, and Sublessor shall have no liability to Sublessee for such termination, provided that such termination is not caused by a default of Sublessor under the Master Lease that is unrelated to any breach by Sublessee.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any of the following shall constitute an "Event of Default" by Sublessee under this Agreement:

  1. Failure by Sublessee to pay Base Rent, Additional Rent, or any other monetary obligation when due, continuing for five (5) business days after written notice thereof;
  2. Failure by Sublessee to observe or perform any other non-monetary covenant, term, or condition of this Agreement for thirty (30) business days after written notice from Sublessor specifying the nature of the default; provided, however, that if the default is of a nature that it cannot be reasonably cured within thirty (30) business days, Sublessee shall not be in default if it commences curing within said period and diligently prosecutes the same to completion;
  3. The filing of a petition by or against Sublessee under any bankruptcy or insolvency law, the appointment of a receiver or trustee for all or substantially all of Sublessee's assets, or any general assignment for the benefit of creditors.

4.2 Notice and Cure Periods

Except as otherwise provided herein, no action for default or termination may be instituted by Sublessor until the applicable written notice and cure periods set forth in Section 4.1 have fully expired without complete cure by Sublessee.

4.3 Remedies Upon Default

Upon the occurrence of an Event of Default, Sublessor shall have the right, at its sole election, to pursue any one or more of the following remedies without further notice or demand:

  1. Termination of Sublease: Terminate this Agreement and Sublessee's right to possession of the Subleased Premises, and recover from Sublessee all damages incurred by Sublessor, including past-due rent and the worth at the time of award of the unpaid rent for the balance of the Term.
  2. Re-entry and Repossession: Re-enter the Subleased Premises by summary proceedings or other legal action, remove all persons and property, and relet the Subleased Premises on such terms as Sublessor may deem advisable.
  3. Cumulative Remedies: Exercise any and all other rights and remedies available to Sublessor at law or in equity, including injunctive relief and legal action under New Jersey law. All remedies shall be cumulative and non-exclusive.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be deemed excised, and the remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, together with the Exhibits attached hereto and the incorporated Master Lease, constitutes the entire agreement between Sublessor and Sublessee pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. No amendment, modification, or waiver of any provision of this Agreement shall be binding unless executed in writing by both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for failure or delay in fulfilling or performing any obligation under this Agreement (except for the obligation to pay money) when such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national emergency, revolution, pandemic, epidemic, or government action, provided that the affected Party uses diligent efforts to resume performance as soon as practicable.

5.4 Governing Law and Forum Selection

This Agreement shall be construed, interpreted, and governed by the laws of the State of New Jersey, without regard to its conflict of laws principles. Any legal suit, action, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the state courts located in [County Name, e.g., Essex County], New Jersey, or the United States District Court for the District of New Jersey, and each Party irrevocably submits to the exclusive personal jurisdiction of such courts.

5.5 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties agree to first attempt in good faith to resolve the matter through senior management negotiations. If the dispute is not resolved within thirty (30) days of notice of the dispute, either Party may submit the matter to binding arbitration administered by the American Arbitration Association (AAA) under its commercial arbitration rules, with the arbitration proceeding to take place in [City, New Jersey]. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
