3.1 Grant of Sublease

Sublessor hereby subleases unto Sublessee, and Sublessee hereby takes and hires from Sublessor, the Subleased Premises, subject to all the terms, covenants, and conditions of this Sublease and the Master Lease.

3.2 Term

The Term of this Sublease shall commence on the Commencement Date and shall expire on the Expiration Date, unless terminated earlier in accordance with the provisions of this Sublease or the Master Lease. Sublessee shall have no option to renew or extend this Sublease unless expressly granted in a written amendment signed by Sublessor and, if required, Master Landlord.

3.3 Rent and Payment Terms

  1. Rent shall be delivered to Sublessor at the address set forth in the preamble or via electronic wire transfer pursuant to instructions provided by Sublessor.
  2. Pro-rated Rent: If the Commencement Date falls on a day other than the first day of a calendar month, the Base Rent for such fractional month shall be pro-rated on a per diem basis and paid on the Commencement Date.
  3. Late Charges: If any installment of Base Rent or additional rent is not received by Sublessor within [Number] days after the due date, Sublessee shall pay a late charge equal to [Percentage]% of the overdue amount or [Dollar Amount], whichever is greater, to compensate Sublessor for administrative and processing costs.

Sublessor shall hold and maintain the Security Deposit in compliance with applicable Michigan law, including the Michigan Landlord and Tenant Relationships Act, MCL 554.601 et seq., if applicable. Upon the expiration or termination of this Sublease, and provided Sublessee has fully performed all obligations hereunder, Sublessor shall return the Security Deposit (or the balance thereof) to Sublessee within thirty (30) days following surrender of the Subleased Premises, less any lawful deductions for damages, unpaid rent, or breaches of this Sublease.

3.5 Use of Subleased Premises

The Subleased Premises shall be used and occupied exclusively for [Permitted Commercial/Residential Use] and for no other purpose without the prior written consent of Sublessor and Master Landlord. Sublessee shall not use, store, or dispose of any hazardous materials, toxic substances, or pollutants on the Subleased Premises in violation of any local, state, or federal environmental law.

3.6 Incorporation of Master Lease Terms

  1. Except as otherwise expressly provided herein, the terms, conditions, and respective obligations of the Sublessor and the Master Landlord under the Master Lease are incorporated into this Sublease by reference, such that each party to this Sublease shall have the same rights and obligations toward the other as the Sublessor and Master Landlord have toward each other under the Master Lease.
  2. Sublessee expressly assumes and agrees to perform all obligations of the tenant under the Master Lease with respect to the Subleased Premises for the duration of the Term.
  3. In the event of any conflict between the terms of the Master Lease and the terms of this Sublease, the terms of this Sublease shall control as between Sublessor and Sublessee, provided that nothing herein shall expand or modify the rights of Sublessor under the Master Lease.

3.7 Maintenance, Repairs, and Alterations

  1. Sublessee accepts the Subleased Premises in its "AS-IS, WHERE-IS" condition as of the Commencement Date, with all faults, and without any representations or warranties by Sublessor, express or implied.
  2. Sublessee shall, at its sole cost and expense, maintain the interior of the Subleased Premises in good, clean, and sanitary order and condition.
  3. Sublessee shall not make any structural alterations, additions, or improvements to the Subleased Premises without the prior written consent of Sublessor and Master Landlord.

3.8 Insurance and Indemnification

  1. Sublessee shall, at its sole expense, maintain throughout the Term commercial general liability insurance insuring against liability for injury to persons or property occurring in or about the Subleased Premises, with minimum limits of [Dollar Amount] ($[0.00]) per occurrence and [Dollar Amount] ($[0.00]) in the aggregate. Sublessor and Master Landlord shall be named as additional insureds on all such policies.

4.1 Events of Default

The occurrence of any of the following shall constitute a material "Event of Default" by Sublessee under this Sublease:

  2. Failure by Sublessee to observe or perform any other non-monetary covenant, condition, or agreement contained in this Sublease or the Master Lease, where such failure continues for a period of thirty (30) Business Days after written notice from Sublessor specifying the nature of the default; provided, however, that if the default is of a nature that it cannot be reasonably cured within thirty (30) Business Days, Sublessee shall not be in Default if it commences to cure within said period and diligently prosecutes the same to completion.
  3. The filing of a petition by or against Sublessee under any bankruptcy or insolvency law, the appointment of a receiver for all or substantially all of Sublessee's assets, or an assignment for the benefit of creditors.
  4. The abandonment or vacation of the Subleased Premises by Sublessee prior to the expiration of the Term.

4.2 Remedies upon Default

Upon the occurrence of an Event of Default, Sublessor shall have the right, at its sole election, to pursue any one or more of the following remedies without further notice or demand:

  1. Termination: Terminate this Sublease and Sublessee's right to possession of the Subleased Premises, and recover from Sublessee all damages incurred by Sublessor as a result of the default, including past-due rent and the present value of the remaining rent due for the balance of the Term.
  2. Possession: Re-enter and take possession of the Subleased Premises, by summary proceedings or other lawful legal process, without being deemed guilty of any manner of trespass and without prejudice to any other remedies.
  3. Performance on Behalf of Sublessee: Cure the Default on behalf of Sublessee, in which event all reasonable costs and expenses incurred by Sublessor in curing such default, including attorneys' fees, shall be immediately due and payable by Sublessee as additional rent.

4.3 Cumulative Remedies

All remedies provided herein are cumulative and non-exclusive of any other remedies provided by law or equity.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Sublease is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Sublease shall remain in full force and effect.

5.2 Entire Agreement

This Sublease, together with the attached Exhibits and the incorporated Master Lease, constitutes the entire agreement between Sublessor and Sublessee pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. No modification, amendment, or waiver of any provision of this Sublease shall be effective unless set forth in a written instrument signed by both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party for any failure or delay in fulfilling or performing any obligation under this Sublease (excluding the obligation to pay rent or financial sums due) when and to the extent such failure or delay is caused by or results from acts beyond the reasonable control of the affected Party, including acts of God, extreme weather events, strikes, lockouts, labor disputes, war, terrorism, civil unrest, epidemic, pandemic, or government restrictions.

5.4 Governing Law and Jurisdiction

This Sublease shall be construed, interpreted, and governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to this Sublease shall be instituted exclusively in the state courts located in [County Name] County, Michigan, or the United States District Court for the [Eastern/Western] District of Michigan, and each Party irrevocably submits to the exclusive personal jurisdiction of such courts.

5.5 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to this Sublease, the Parties agree to first attempt to resolve the matter through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days of written notice by either Party, the Parties agree to submit the dispute to non-binding mediation before resorting to litigation. If mediation fails to resolve the dispute, either Party may pursue its remedies in a court of competent jurisdiction pursuant to Section 5.4.
