SUBLEASE AGREEMENT (MASSACHUSETTS)

This Sublease Agreement (the "Agreement") is entered into as of [Effective Date] (the "Effective Date") by and between [Sublessor Name], a [State of Incorporation/Organization] [Entity Type] with a principal place of business at [Address] ("Sublessor"), and [Sublessee Name], a [State of Incorporation/Organization] [Entity Type] with a principal place of business at [Address] ("Sublessee").

RECITALS

WHEREAS, Sublessor is the lessee under that certain Master Lease dated [Master Lease Date] (the "Master Lease") with [Landlord Name] ("Master Landlord") regarding the premises located at [Premises Address] (the "Premises"); and WHEREAS, Sublessor desires to sublease to Sublessee, and Sublessee desires to sublease from Sublessor, a portion or all of the Premises, subject to the terms and conditions set forth herein and the requirements of the Master Lease.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1 "Premises" shall mean the physical space described in Exhibit A, currently leased by Sublessor from Master Landlord. 1.2 "Master Lease" shall mean the primary lease agreement between Master Landlord and Sublessor, attached hereto as Exhibit B, which is incorporated by reference. 1.3 "Sublease Rent" shall mean the monthly sum of $[Dollar Amount] payable by Sublessee to Sublessor. 1.4 "Security Deposit" shall mean the sum of $[Dollar Amount] to be held by Sublessor as security for the performance of this Agreement. 1.5 "Term" shall mean the period beginning on [Start Date] and ending on [End Date], unless terminated earlier in accordance with this Agreement.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Grant of Sublease: Sublessor hereby subleases the Premises to Sublessee, and Sublessee hereby accepts the Premises "as-is," subject to the terms of the Master Lease. 2.2 Rent Payment: Sublessee shall pay the Sublease Rent to Sublessor on the [Day] of each calendar month. Payments shall be made via [Payment Method]. 2.3 Master Lease Compliance: Sublessee acknowledges it has reviewed the Master Lease and agrees to be bound by all applicable terms, conditions, and restrictions contained therein. Sublessee shall not perform any act that would constitute a default under the Master Lease. 2.4 Use of Premises: Sublessee shall use the Premises solely for [Permitted Use] and for no other purpose without the prior written consent of Sublessor and Master Landlord. 2.5 Maintenance and Repairs: Sublessee shall maintain the Premises in good order and condition. 3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Events of Default: A default occurs if Sublessee: (a) fails to pay rent within [Number] days of the due date; (b) breaches any material term of this Agreement or the Master Lease; or (c) becomes insolvent or files for bankruptcy. 3.2 Notice and Cure: In the event of a breach, Sublessor shall provide written notice to Sublessee. Sublessee shall have [30] business days from the receipt of such notice to cure the default. 3.3 Remedies: If the breach is not cured within the specified period, Sublessor may: (a) terminate this Agreement; (b) re-enter and take possession of the Premises; (c) recover all past due rent and damages; and (d) pursue any other remedies available under Massachusetts law. 3.4 Holdover: If Sublessee remains in possession after the expiration of the Term without written consent, Sublessee shall be liable for [Percentage]% of the daily Sublease Rent as liquidated damages.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 4.2 Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or negotiations. 4.3 Force Majeure: Neither party shall be liable for failure to perform due to causes beyond their reasonable control, including acts of God, war, or governmental regulation, provided that payment obligations remain unaffected. 4.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts. 4.5 Dispute Resolution: Any dispute arising out of this Agreement shall be submitted to mandatory binding arbitration in [County, MA] under the rules of the American Arbitration Association, unless the parties mutually agree to resolve the dispute in a court of competent jurisdiction within Massachusetts.
