3.2 Term

The Term of this Sublease shall commence on the Commencement Date and shall end on the Expiration Date, unless sooner terminated in accordance with the provisions hereof or of the Master Lease.

  3. Performance of Master Lease: Sublessee shall not commit or permit any act or omission that would constitute a default under the Master Lease or cause Sublessor to be in breach thereof.

4. Default, Termination, and Remedies

4.1 Definition of Default

The occurrence of any one or more of the following events shall constitute a material default and breach of this Agreement by Sublessee (each, an "Event of Default"):

  1. Failure by Sublessee to pay any installment of Base Rent, Additional Rent, or the Security Deposit when due, where such failure continues for a period of five (5) Business Days after written notice from Sublessor.
  2. Failure by Sublessee to observe, perform, or comply with any other covenant, condition, or agreement contained in this Sublease, where such failure continues for a period of thirty (30) Business Days after written notice from Sublessor specifying the nature of the breach (provided, however, that if the default cannot reasonably be cured within thirty (30) Business Days, Sublessee shall not be in default if it commences to cure within such period and diligently and continuously prosecutes the same to completion).
  3. The filing of a petition by or against Sublessee under any bankruptcy, insolvency, or similar law; the appointment of a receiver, trustee, or liquidator for all or substantially all of Sublessee's assets; or the voluntary or involuntary dissolution, liquidation, or winding up of Sublessee's business.
  4. The abandonment or vacation of the Subleased Premises by Sublessee for a consecutive period exceeding fifteen (15) Business Days.
  5. Any default by Sublessee under the Master Lease that results in a notice of default being issued by Master Landlord to Sublessor.

4.2 Sublessor Remedies

Upon the occurrence of any Event of Default by Sublessee, Sublessor shall have the right, at its sole election and without prejudice to any other rights or remedies provided at law, in equity, or under this Agreement, to exercise any or all of the following remedies:

  1. Termination of Sublease: Terminate this Sublease upon written notice to Sublessee, whereupon Sublessee shall immediately surrender possession of the Subleased Premises to Sublessor. Sublessor may recover from Sublessee all damages incurred by reason of such default, including the worth at the time of award of the unpaid rent which would have been payable for the remainder of the Term.
  2. Re-Entry and Re-Letting: Without terminating this Sublease, re-enter and take possession of the Subleased Premises, by legal proceedings or self-help without being deemed guilty of trespass, and re-let the Subleased Premises on such terms as Sublessor may deem advisable. Sublessee shall remain liable for any deficiency between the rent reserved hereunder and the net rent collected through such re-letting.
  3. Cure on Behalf of Sublessee: Advance funds or perform any obligation required of Sublessee under this Sublease. Any reasonable expenses incurred by Sublessor in so doing, together with interest at the maximum legal rate, shall be immediately due and payable by Sublessee as Additional Rent.

4.3 Master Landlord Termination Rights

Sublessee expressly acknowledges that if the Master Lease is terminated for any reason whatsoever, whether by expiration, mutual agreement, or default of Sublessor, this Sublease shall automatically terminate concurrently therewith, and Sublessor shall have no liability to Sublessee arising from such termination.

5. Boilerplate Legal Provisions

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed severed from this Agreement, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

5.2 Entire Agreement

This Agreement, including all exhibits, schedules, and attachments hereto (specifically including the Master Lease incorporated herein), constitutes the final, complete, and exclusive statement of the agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, understandings, proposals, and agreements, whether oral or written. No waiver, modification, or amendment of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for the obligation to pay Base Rent, Additional Rent, and Security Deposit) when and to the extent such failure or delay is caused by or results from acts beyond the affected Party's reasonable control, including, without limitation: acts of God; flood, fire, earthquake, explosion, or severe weather; war, invasion, hostilities, terrorist threats or acts, riot, or civil unrest; government action, embargoes, or orders; national or regional emergencies; strikes, labor stoppages, or slowdowns; or shortages of adequate power or transportation (each, a "Force Majeure Event"). The Party suffering a Force Majeure Event shall promptly notify the other Party in writing, stating the period of time the occurrence is expected to continue, and shall use diligent efforts to resume performance as soon as practicable.

5.4 Governing Law

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Jurisdiction], without regard to its conflict of laws principles.

5.5 Dispute Resolution

  1. Negotiation and Mediation: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof (a "Dispute"), the Parties shall first attempt in good faith to resolve such Dispute by mutual negotiation between senior executives of each Party. If the Dispute is not resolved within thirty (30) days after written notice of the Dispute is given by one Party to the other, the Parties shall submit the Dispute to non-binding mediation administered by [Mediation Provider, e.g., JAMS or American Arbitration Association] in [City, State] before resorting to arbitration or litigation.
  2. Binding Arbitration: Any Dispute that remains unresolved following mediation shall be settled by binding arbitration administered by [Arbitration Provider, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language before a single arbitrator appointed in accordance with such rules. The award rendered by the arbitrator shall be final and binding upon both Parties, and judgment upon the award may be entered in any court having jurisdiction thereof.

6. Formal Execution Block
