  1. Termination of Sublease: Sublessor may terminate this Sublease upon written notice to Sublessee, whereupon Sublessee shall immediately surrender the Subleased Premises to Sublessor. If Sublessee fails to surrender, Sublessor may re-enter and repossess the Subleased Premises, using such legal force as may be necessary, without being liable for prosecution or damages.
  2. Damages: Sublessor may recover from Sublessee all damages incurred by reason of Sublessee's default, including past-due rent, the present value of the total rent reserved for the remainder of the term, costs of recovering the Subleased Premises, attorneys' fees, and any costs incurred in re-letting the Subleased Premises.
  3. Cumulative Remedies: All remedies conferred upon Sublessor shall be cumulative and non-exclusive of any other remedy available under this Agreement or applicable law.

5. BOILERPLATE LEGAL PROVISIONS

5.2 Entire Agreement

This Agreement, together with Exhibit A and the Master Lease (to the extent incorporated herein), constitutes the entire agreement between Sublessor and Sublessee regarding the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements between the Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for the obligation to pay rent and financial obligations) when and to the extent such failure or delay is caused by or results from a Force Majeure Event, provided that the affected Party gives prompt written notice to the other Party stating the period of time the occurrence is expected to continue.

5.4 Governing Law

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Jurisdiction], without regard to its conflict of laws principles.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
