SUBLEASE AGREEMENT

This Sublease Agreement ("Agreement") is entered into as of [Effective Date] (the "Effective Date") by and between [Sublandlord Name], a [State of Incorporation] [Entity Type] with its principal place of business at [Sublandlord Address] ("Sublandlord"), and [Subtenant Name], a [State of Incorporation] [Entity Type] with its principal place of business at [Subtenant Address] ("Subtenant"). Sublandlord and Subtenant may be referred to herein individually as a "Party" and collectively as the "Parties."

1. RECITALS

WHEREAS, Sublandlord is the tenant under that certain Master Lease dated [Master Lease Date] (the "Master Lease") with [Master Landlord Name] ("Master Landlord") regarding the premises located at [Premises Address], Chicago, Illinois (the "Premises");

WHEREAS, Sublandlord desires to sublease to Subtenant, and Subtenant desires to sublease from Sublandlord, a portion of the Premises specifically defined as [Suite/Area Description] (the "Subleased Premises");

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

2. OPERATIONAL DEFINITIONS

1. "Master Lease" shall mean the primary lease agreement between Master Landlord and Sublandlord, including all amendments thereto.
2. "Subleased Premises" shall mean the portion of the Premises occupied by Subtenant, as identified in Section 1.
3. "Rent" shall mean the base monthly payment of $[Dollar Amount] due from Subtenant to Sublandlord.
4. "Security Deposit" shall mean the sum of $[Dollar Amount] deposited by Subtenant to ensure performance of this Agreement.
5. "Business Day" shall mean any day other than a Saturday, Sunday, or a federal holiday recognized in the State of Illinois.
6. "Term" shall mean the period beginning on [Commencement Date] and ending on [Expiration Date].

3. SUBSTANTIVE TERMS & OBLIGATIONS

1. Grant of Sublease: Sublandlord hereby subleases the Subleased Premises to Subtenant for the Term, subject to the terms of this Agreement and the Master Lease.
2. Rent Payments: Subtenant shall pay Rent to Sublandlord on the first day of each month via [Payment Method].
3. Master Lease Incorporation: This Agreement is subject and subordinate to the Master Lease. Subtenant shall not commit or permit any act or omission that would constitute a default under the Master Lease.
4. Use: Subtenant shall use the Subleased Premises solely for [Permitted Use] and for no other purpose without the prior written consent of Sublandlord and Master Landlord.
5. Maintenance and Repairs: Subtenant shall maintain the Subleased Premises in good order and condition, reasonable wear and tear excepted.
6. Insurance: Subtenant shall, at its sole cost, maintain commercial general liability insurance naming Sublandlord and Master Landlord as additional insureds with minimum coverage of $[Dollar Amount] per occurrence.

4. DEFAULT, TERMINATION, AND REMEDIES

1. Events of Default: An Event of Default occurs if: (a) Subtenant fails to pay Rent within [Number] days of the due date; or (b) Subtenant breaches any other covenant herein and fails to cure such breach within 30 business days following receipt of written notice from Sublandlord.
2. Remedies: Upon an Event of Default, Sublandlord may: (a) terminate this Agreement upon written notice; (b) re-enter and take possession of the Subleased Premises; and (c) pursue all available legal or equitable remedies under Illinois law.
3. Notice: Any notice required hereunder shall be sent via certified mail, return receipt requested, to the addresses specified in the preamble.

5. BOILERPLATE LEGAL PROVISIONS

1. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
2. Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions or agreements regarding the Subleased Premises.
3. Force Majeure: Neither Party shall be liable for failure to perform due to acts of God, war, terrorism, government regulation, or other causes beyond the reasonable control of the performing party.
4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois.
5. Dispute Resolution: Any controversy arising out of this Agreement shall be settled by binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.

6. FORMAL EXECUTION BLOCK
