3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Grant and Term

Sublessor hereby subleases to Sublessee, and Sublessee hereby subleases from Sublessor, the Premises for the Term, subject to and in accordance with the terms, covenants, and conditions of this Sublease and the Head Lease.

3.2 Rent and Payment Mechanics

  1. Base Rent: Sublessee shall pay to Sublessor Base Rent in the amount of [Dollar Amount ($0.00)] per annum, payable in equal monthly installments of [Dollar Amount ($0.00)], in advance, on the first (1st) day of each calendar month during the Term, without demand, set-off, or deduction.
  2. Additional Rent: Sublessee shall pay, as Additional Rent, all costs, charges, and expenses allocable to the Premises, including [Proportionate Share, e.g., 100% or XX%] of all Operating Costs, property taxes, utilities, and insurance surcharges levied against the Premises or required to be paid by Sublessor under the Head Lease.
  3. Taxes: Sublessee shall pay all applicable federal, provincial, and municipal sales taxes (including Goods and Services Tax (GST) or Harmonized Sales Tax (HST)) levied on or in respect of the Base Rent and Additional Rent concurrently with each rent payment.
  4. Late Charges: Any rent or other sum not paid within five (5) days of its due date shall incur a late administration fee of [Dollar Amount ($0.00)] or [Number] percent ([Number]%) of the overdue amount, whichever is greater, and shall bear interest at the Interest Rate from the due date until paid in full.

3.3 Condition of Premises and Delivery

  1. Sublessee accepts the Premises in its "AS-IS, WHERE-IS" condition as of the Commencement Date. Sublessor makes no representations, warranties, or covenants, express or implied, regarding the physical condition of the Premises, its structural integrity, environmental status, or its suitability for Sublessee's intended use.
  2. If the Commencement Date is delayed for any reason beyond Sublessor’s control, including holding over by a prior occupant or failure of the Head Landlord to grant consent, this Sublease shall remain in full force and effect, but the Commencement Date and the obligation to pay rent shall be deferred until the actual date of delivery of possession to Sublessee.

3.4 Security Deposit

Upon execution of this Sublease, Sublessee shall deposit with Sublessor the Security Deposit as security for the faithful performance of all terms and conditions of this Sublease. Sublessor may apply all or part of the Security Deposit to cure any default by Sublessee. If so applied, Sublessee shall replenish the Security Deposit to its original amount within ten (10) Business Days of receiving written demand. The Security Deposit, less any lawful deductions, shall be returned to Sublessee within thirty (30) days following the expiration or termination of this Sublease and surrender of the Premises.

3.5 Use of Premises

Sublessee shall use and occupy the Premises solely for [Permitted Business Use] and for no other purpose, in strict compliance with all applicable municipal bylaws, provincial statutes, federal laws, and the rules, regulations, and restrictions set forth in the Head Lease.

3.6 Incorporation of Head Lease Terms

  1. This Sublease is subordinate to the Head Lease. Except as otherwise expressly provided herein, the terms, covenants, conditions, and provisions of the Head Lease are incorporated into this Sublease by reference as if set out at length herein, with references to "Landlord" meaning Sublessor (or Head Landlord, where the context requires), references to "Tenant" meaning Sublessee, and references to "Lease" meaning this Sublease.
  2. Sublessee shall not do, or permit to be done, any act or thing that would constitute a default under the Head Lease or cause Sublessor to be in breach of its obligations thereunder. Sublessee hereby assumes and agrees to perform all obligations of Sublessor under the Head Lease as they relate to the Premises, save and except for the payment of Head Lease Base Rent (which obligation is satisfied by the payment of Base Rent hereunder to Sublessor).

3.7 Maintenance, Repairs, and Alterations

  1. Sublessee shall, at its sole cost and expense, maintain the interior of the Premises in a clean, safe, and sanitary condition, and shall make all necessary repairs occasioned by the act, neglect, or default of Sublessee, its employees, agents, invitees, or contractors.
  2. Sublessee shall not make any structural alterations, additions, or improvements to the Premises without the prior written consent of Sublessor and, where required, the Head Landlord. All permitted alterations shall become the property of the Head Landlord (or Sublessor) upon annexation or expiration of the Term, unless the Head Landlord or Sublessor requires their removal pursuant to the Head Lease.

3.8 Insurance and Indemnification

  1. Sublessee shall, at its sole expense, maintain throughout the Term commercial general liability insurance in an amount not less than [Dollar Amount, e.g., $5,000,000] per occurrence, insuring against claims for personal injury, death, or property damage occurring upon or resulting from the Premises. Such policy shall name Sublessor and Head Landlord as additional insureds.
  2. Sublessee shall defend, indemnify, and hold harmless Sublessor and Head Landlord from and against any and all claims, actions, damages, liabilities, and expenses (including legal fees on a solicitor-and-client basis) arising out of or resulting from any injury to persons or damage to property occurring in, on, or about the Premises, or resulting from any breach, violation, or non-performance of any covenant or condition of this Sublease by Sublessee.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any of the following shall constitute an "Event of Default" by Sublessee under this Sublease:

  1. Failure by Sublessee to pay Base Rent, Additional Rent, or any other monetary obligation when due, where such failure continues for five (5) Business Days after written notice from Sublessor.
  2. Failure by Sublessee to observe, perform, or comply with any other term, covenant, or condition of this Sublease or the incorporated provisions of the Head Lease, where such failure continues for thirty (30) Business Days after written notice from Sublessor specifying the default (provided that if the default cannot reasonably be cured within thirty (30) Business Days, Sublessee shall not be in default if it commences curing within such period and diligently prosecutes the same to completion).
  3. The making by Sublessee of an assignment for the benefit of creditors, the filing of a petition under the Bankruptcy and Insolvency Act (Canada) or the Companies' Creditors Arrangement Act (Canada), the appointment of a receiver or trustee for all or substantially all of Sublessee's assets, or the liquidation, dissolution, or winding-up of Sublessee.
  4. The abandonment or vacating of the Premises by Sublessee for a period greater than fifteen (15) consecutive days.
  5. Any default by Sublessor under the Head Lease caused directly by the acts, omissions, or default of Sublessee.

4.2 Remedies upon Default

Upon the occurrence of an Event of Default, Sublessor shall have the right, at its sole option and without prejudice to any other right or remedy available at law or in equity, to exercise any or all of the following remedies:

  1. Termination: Terminate this Sublease and the right of Sublessee to possession of the Premises upon written notice, whereupon Sublessee shall immediately surrender the Premises to Sublessor.
  2. Re-entry: Re-enter the Premises by force, summary proceedings, or otherwise, and expel Sublessee and remove all property therefrom without being liable for prosecution or damages.
  3. Perfomance on Behalf of Sublessee: Cure any default of Sublessee at Sublessee's expense, and all costs incurred by Sublessor shall be immediately due and payable as Additional Rent.
  4. Damages: Recover from Sublessee all damages incurred by Sublessor as a result of the default, including past-due rent, the present value of the remaining rent for the balance of the Term, brokerage commissions, legal fees, and costs of re-letting the Premises.

4.3 Head Lease Termination

If the Head Lease is terminated for any reason prior to the Expiration Date (including a termination by Head Landlord due to Sublessor's default unrelated to Sublessee, or a termination by mutual agreement), this Sublease shall automatically terminate concurrently therewith, and Sublessor shall have no liability to Sublessee for such early termination, save for the return of unearned advance rent and the Security Deposit (subject to lawful deductions).

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Sublease is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed from this Sublease, and the remaining provisions shall continue in full force and effect without impairment, provided that the economic and legal substance of the transactions contemplated hereby is not affected in any manner materially adverse to either Party.

5.2 Entire Agreement

This Sublease, together with Schedules "A" and "B" and the incorporated terms of the Head Lease, constitutes the entire agreement between Sublessor and Sublessee pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. There are no warranties, representations, or other agreements between the Parties in connection with the subject matter of this Sublease except as specifically set forth herein.

5.3 Force Majeure

Except as otherwise expressly provided herein, neither Party shall be liable for any failure or delay in the performance of its obligations under this Sublease if such failure or delay is caused by acts of God, war, terrorism, civil commotion, labour strikes, lockouts, epidemics, pandemics, government restrictions, fire, flood, or other catastrophic events beyond the reasonable control of the affected Party (excluding financial inability). The time for performance of any obligation affected by a Force Majeure event shall be extended for a period equal to the duration of the delay.

5.4 Governing Law and Jurisdiction

This Sublease shall be governed by, construed, and enforced in accordance with the laws of the Province of [Province] and the federal laws of Canada applicable therein. Each Party irrevocably submits to the exclusive jurisdiction of the courts of the Province of [Province] situated in the City of [City] with respect to any dispute arising out of or relating to this Sublease.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Sublease, including its formation, breach, termination, or validity, shall be resolved first through good-faith negotiations between designated senior executives of the Parties. If the dispute cannot be resolved within thirty (30) days of written notice of dispute, either Party may submit the dispute to binding arbitration administered by [Arbitration Body, e.g., ADR Institute of Canada] in accordance with its provincial arbitration rules. The place of arbitration shall be [City, Province], and the language of the arbitration shall be English.

5.6 Notices

Any notice, demand, or other communication required or permitted to be given under this Sublease shall be in writing and shall be delivered personally, sent by prepaid courier service with tracking, or transmitted by electronic mail (with confirmed receipt) to the addresses set forth on page one of this Sublease (or to such other address as a Party may designate by notice). Notices delivered personally or by courier shall be deemed received upon delivery; notices sent by email shall be deemed received upon transmission, provided transmission is completed during normal business hours on a Business Day.
