  9. "Master Premises" means the entirety of the real property leased by Sublessor from Head Landlord, as more particularly described in the Master Lease.

3. Substantive Terms & Obligations

3.1 Grant and Term

Sublessor hereby subleases the Subleased Premises to Sublessee, and Sublessee hereby takes the Subleased Premises from Sublessor, subject to the terms of this Agreement. The Term shall commence on [Commencement Date] (the "Commencement Date") and shall expire on [Expiry Date] (the "Expiry Date"), unless terminated earlier in accordance with law or this Agreement.

3.2 Rent and Payment Mechanics

  1. Base Rent: Sublessee shall pay to Sublessor Base Rent in the amount of [Dollar Amount] per annum, payable in equal monthly installments of [Dollar Amount] in advance on the first (1st) day of each calendar month during the Term.
  2. Additional Rent: Sublessee shall pay, as Additional Rent, [Percentage]% of all operating costs, property taxes, utilities, and other pass-through charges assessed under the Master Lease that are attributable to the Subleased Premises, within ten (10) Business Days of receipt of an invoice from Sublessor.
  3. Late Charges: Any installment of Base Rent or Additional Rent not received by Sublessor by the fifth (5th) day of the calendar month shall be subject to a late fee of [Dollar Amount] or [Percentage]% of the overdue amount, whichever is greater, plus interest accruing at the Interest Rate from the date due until paid in full.
  4. Method of Payment: All payments shall be made in lawful currency of Canada via Electronic Funds Transfer (EFT) or wire transfer to an account designated in writing by Sublessor.

3.3 Subordination and Master Lease Incorporation

  1. This Agreement is unconditionally subordinate to all terms, covenants, and conditions of the Master Lease. Sublessee expressly assumes and agrees to perform all obligations of the tenant under the Master Lease with respect to the Subleased Premises, to the extent applicable.
  2. Where the Master Lease imposes obligations on Sublessor, Sublessee shall observe and perform those same obligations as they relate to the Subleased Premises, substituting "Sublessor" for "Landlord" and "Sublessee" for "Tenant" where appropriate.
  3. Sublessor covenants to perform all of its obligations under the Master Lease, provided that Sublessor shall not be liable to Sublessee for any default by Head Landlord.

Sublessor may apply all or part of the Security Deposit to cure any Default by Sublessee. Within thirty (30) days following the expiration or termination of this Agreement and the surrender of the Subleased Premises, Sublessor shall return the unused balance of the Security Deposit, without interest, to Sublessee.

3.5 Representations and Warranties

  1. Sublessor Representations: Sublessor represents and warrants that it is the lawful lessee under the Master Lease, that the Master Lease is in full force and effect, that no default exists thereunder, and that it has full legal power to enter into this Agreement, subject to Head Landlord's written consent.
  2. Sublessee Representations: Sublessee represents and warrants that it has inspected the Subleased Premises, accepts them in their "AS-IS, WHERE-IS" condition as of the Commencement Date, and possesses the requisite corporate authority to execute and perform this Agreement.

4. Default, Termination, and Remedies

4.1 Events of Default

The occurrence of any of the following shall constitute an immediate Event of Default by Sublessee:

  1. Failure by Sublessee to pay Base Rent, Additional Rent, or any other monetary obligation within five (5) Business Days of its due date.
  2. Failure by Sublessee to perform or observe any non-monetary covenant, condition, or agreement contained in this Agreement or the Master Lease for a period of thirty (30) Business Days after written notice from Sublessor specifying the nature of the breach.
  3. The filing of a petition in bankruptcy or insolvency by or against Sublessee, the appointment of a receiver or trustee for all or substantially all of Sublessee's assets, or any general assignment for the benefit of creditors.
  4. The abandonment or vacating of the Subleased Premises by Sublessee for a consecutive period exceeding thirty (30) days.

4.2 Notice and Cure Periods

Except where a specific shorter cure period is expressly provided herein (such as monetary defaults), the defaulting Party shall have thirty (30) Business Days from receipt of written notice detailing the Default to cure the same. If the Default cannot reasonably be cured within thirty (30) Business Days due to causes beyond the defaulting Party's control, such Party shall not be in Default if it commences a cure within the thirty (30) Business Day period and diligently prosecutes the same to completion.

4.3 Remedies Upon Default

Upon the occurrence and continuation of an Event of Default by Sublessee, Sublessor may pursue any or all of the following cumulative remedies, without prejudice to any other right or remedy available at law or in equity:

  1. Terminate this Agreement upon written notice to Sublessee, whereupon Sublessee shall immediately surrender the Subleased Premises.
  2. Re-enter and take possession of the Subleased Premises, ejecting Sublessee and all persons claiming under Sublessee, and re-let the Subleased Premises on such terms as Sublessor may deem advisable.
  3. Recover from Sublessee all damages proximately caused by the Default, including past-due rent, the present value of the remaining rent for the balance of the Term, reasonable legal fees on a solicitor-and-client basis, and brokerage costs incurred in re-letting.

5. Boilerplate Legal Provisions

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected hereby.

5.2 Entire Agreement

This Agreement, including any attached exhibits, schedules, and the incorporated Master Lease, constitutes the entire agreement between Sublessor and Sublessee pertaining to the subject matter hereof and supersedes all prior agreements, negotiations, representations, and understandings, whether written or oral.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from a Force Majeure Event, provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance.

5.4 Governing Law and Attornment

This Agreement shall be construed, interpreted, and governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Each Party irrevocably attorns to the exclusive jurisdiction of the courts sitting in Vancouver, British Columbia, for the resolution of any legal proceedings arising out of this Agreement.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved through good-faith negotiations between designated senior executives of the Parties. If such negotiations fail to resolve the dispute within thirty (30) days, the matter shall be submitted to final and binding arbitration administered by the British Columbia International Commercial Arbitration Centre (BCICAC) pursuant to its domestic commercial arbitration rules, with the place of arbitration being Vancouver, British Columbia, before a single arbitrator.
