The Subcontractor shall have no authority to bind, obligate, or enter into contracts on behalf of the Company. The Subcontractor is exclusively responsible for the payment of all federal, state, and local income taxes, self-employment taxes, social security contributions, unemployment insurance, and workers' compensation insurance relating to all compensation received under this Agreement.
Section 2. Compensation & Payment Terms
2.1 Compensation. In consideration for the full, prompt, and satisfactory performance of the Services, the Company shall pay the Subcontractor the fees set forth in Exhibit B (the "Compensation Schedule"). The total compensation payable under this Agreement shall not exceed [Amount in USD], unless modified by a written amendment executed by authorized representatives of both parties.
2.2 Invoicing & Expense Reimbursement. (b) Invoices shall be submitted to: [Invoicing Email Address / Physical Address]. (c) Unless otherwise specified in Exhibit B, pre-approved, out-of-pocket expenses reasonably incurred by the Subcontractor in the direct performance of the Services shall be reimbursed by the Company, provided that such expenses are supported by original receipts and pre-authorized in writing by an authorized representative of the Company.
2.3 Payment Terms. Subject to the Company’s receipt of a valid, undisputed invoice, the Company shall remit payment within [Number, e.g., Thirty (30)] days following the invoice receipt date.
2.4 Late Interest & Disputed Invoices. (a) Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date paid in full. (b) If the Company disputes any portion of an invoice in good faith, the Company shall notify the Subcontractor in writing within fifteen (15) days of receipt of the disputed invoice, detailing the specific grounds for the dispute. The Company shall promptly pay any undisputed portion. The parties shall negotiate in good faith to resolve any disputed amounts expeditiously.

The Company may terminate this Agreement, in whole or in part, at any time and for any reason or no reason, upon providing [Number, e.g., Fifteen (15)] days prior written notice to the Subcontractor. Upon receipt of such notice, the Subcontractor shall immediately cease all performance, unless the notice dictates otherwise.
3.3 Termination for Cause. (a) Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such material breach within ten (10) days (or such other period as mutually agreed) following receipt of written notice detailing the breach. The Company shall pay such final invoice in accordance with Section 2, subject to any offsets for damages resulting from Subcontractor's breach. (b) Upon termination or expiration, the Subcontractor shall immediately return to the Company all Company property, equipment, Confidential Information, and Work Product (whether completed or in progress) in its possession or control.

4.2 Assignment of Rights. To the extent that any Work Product does not qualify, by operation of law or otherwise, as a "work made for hire," the Subcontractor hereby irrevocably, unconditionally, and perpetually assigns, transfers, and conveys to the Company, without further consideration, all right, title, and interest worldwide in and to such Work Product, including all copyrights, patent rights, trademark rights, trade secret rights, and all other intellectual property and proprietary rights therein.
4.3 Further Assurances. The Subcontractor agrees to execute, acknowledge, and deliver any and all documents, instruments, and assignments, and to take all such further actions, as the Company may reasonably request from time to time to perfect, register, defend, or enforce the Company’s complete ownership of the Work Product and all associated intellectual property rights.
4.4 Subcontractor Pre-Existing IP. If the Subcontractor incorporates into any Work Product any pre-existing software, methodologies, tools, designs, or other intellectual property owned by the Subcontractor or third parties prior to the Effective Date ("Pre-Existing IP"), the Subcontractor hereby grants to the Company a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such Pre-Existing IP solely as incorporated into or necessary for the use and enjoyment of the Work Product.

5.3 Exclusions. Confidential Information shall not include information that: (a) Is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) Was already lawfully known to the Receiving Party prior to disclosure without an obligation of confidentiality; (c) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party’s Confidential Information; or (d) Is rightfully received from a third party without restriction on disclosure.
5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall provide prompt written notice to the Disclosing Party (to the extent legally permissible) to enable the Disclosing Party to seek a protective order or other appropriate remedy.

7.3 Indemnification Procedures. The indemnified party shall promptly notify the indemnifying party in writing of any claim subject to indemnification under this Section 7; provided, however, that failure to give prompt notice shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced thereby. The indemnifying party shall have sole control over the defense and settlement of any such claim, provided that the indemnifying party shall not settle any claim that admits liability or imposes monetary or injunctive obligations on the indemnified party without its prior written consent.
