[Company Full Legal Name]) with actual data. Do not leave any brackets unfilled. - Review: Ensure the "Scope of Services" in Exhibit A is granular. Vague descriptions are the leading cause of litigation in subcontractor agreements.
- Verify Authority: Ensure the individual signing for the Company holds the corporate authority to bind the entity (e.g., CEO, CFO, or authorized Manager).
- Digital Signature: Utilize a secure platform (DocuSign, Adobe Sign, or HelloSign). Ensure the "Audit Trail" feature is enabled to maintain a record of the signer's IP address and timestamp.
- Record Retention: Save the finalized PDF in a secure, encrypted document management system. Retain the executed agreement for a minimum of seven (7) years post-termination to satisfy potential tax audits or statute of limitations requirements.
