Independent Contractor Services Agreement

2. Services

3. Term

4. Fees and Payment

5. Independent Contractor Status

The parties acknowledge that the Contractor is an independent contractor and not an employee, partner, or agent of the Principal. The Contractor is solely responsible for all tax obligations, including PAYE, ACC levies, and GST registration and filing.

6. Intellectual Property

All work product, reports, designs, or materials created by the Contractor specifically for the Principal under this Agreement shall become the exclusive property of the Principal upon payment of the relevant fees.

7. Confidentiality

The Contractor agrees to keep all information provided by the Principal confidential and shall not disclose such information to any third party without the prior written consent of the Principal, except as required by law.

8. Termination

8.1 Either party may terminate this Agreement by providing [Number] days' written notice to the other party. 8.2 The Principal may terminate this Agreement immediately if the Contractor commits a material breach of this Agreement or engages in any conduct that brings the Principal into disrepute.

9. Governing Law
