1. LEGAL NOTICE & COMPLIANCE DISCLAIMER

This document is a standardized Statement of Work template engineered for corporate legal and operational deployment. It is designed to be read in conjunction with an executed Master Services Agreement (MSA) between the participating parties. Modification of core operational or legal clauses without prior review by qualified legal counsel may invalidate liability protections, indemnities, and jurisdictional enforcement mechanisms.

2. PARTIES & DEFINITIONS

This Statement of Work ("SOW") is entered into by and between:

  1. Client: [Company Legal Name], a [State/Country of Incorporation] corporation, having its principal place of business at [Client Street Address] ("Client"), and
  2. Service Provider: [Provider Legal Name], a [State/Country of Incorporation] corporation, having its principal place of business at [Provider Street Address] ("Service Provider").

2.1 Defined Terms

Capitalized terms used herein but not otherwise defined shall have the meanings ascribed to them in the Master Services Agreement entered into by Client and Service Provider dated [MSA Date] (the "MSA"). In the event of any direct conflict between the terms of this SOW and the MSA, the terms of the MSA shall control, unless this SOW expressly states an intent to supersede a specific provision of the MSA for the purposes of this engagement only.

3. OPERATIVE CLAUSES & TERMS

1. SCOPE OF SERVICES

1.1 Project Overview: Service Provider shall furnish the professional services, deliverables, and operational outputs (collectively, the "Services") detailed in Schedule A (Scope of Work & Deliverables) attached hereto and incorporated by this reference. 1.2 Project Assumptions: The execution of this SOW is predicated upon the assumptions, dependencies, and client-side inputs outlined in Schedule B. Any material deviation from these assumptions may result in a formal change order pursuant to Clause 6.

2. TERM & SCHEDULE

2.1 Commencement Date: This SOW shall commence on [Start Date] (the "Commencement Date") and shall continue in full force and effect until [Completion Date], unless terminated earlier in accordance with the provisions of the MSA. 2.2 Milestone Schedule: Service Provider shall deliver the operational phases and project milestones in accordance with the timeline set forth in Schedule C (Milestone & Delivery Schedule). Time is of the essence with respect to all delivery dates specified herein.

3. FINANCIAL TERMS & COMPENSATION

3.1 Fee Structure: Client shall compensate Service Provider for the Services rendered in accordance with the fee structure designated below:

  • Fixed Fee: Total fixed fee of [Currency Symbol] [Total Amount], payable pursuant to the milestone schedule in Clause 3.2.
  • Time and Materials (T&M): Billing at the hourly rates set forth in Schedule D, not to exceed a cap of [Currency Symbol] [Not-To-Exceed Amount] without prior written authorization from Client. 3.2 Invoicing & Payment Terms: Service Provider shall submit invoices [Monthly / Upon Milestone Completion]. All undisputed invoices shall be due and payable within [Number] ([XX]) days of receipt (Net [XX]). Late payments shall accrue interest at the lesser of [1.5]% per month or the maximum rate permitted by applicable law. 3.3 Expenses: Client shall reimburse Service Provider for pre-approved, reasonable, and actual out-of-pocket expenses incurred in the performance of the Services, subject to Client’s corporate travel and expense policies.

4. DELIVERABLES & ACCEPTANCE

4.1 Delivery: Service Provider shall deliver each work product or milestone deliverable to Client upon completion. 4.2 Acceptance Period: Client shall have [Number] ([XX]) business days following receipt of a deliverable to evaluate and test the deliverable against the specifications set forth in Schedule A (the "Acceptance Period"). 4.3 Notice of Acceptance/Rejection: If the deliverable conforms to specifications, Client shall issue a written Notice of Acceptance. If the deliverable fails to conform, Client shall provide written notice detailing the specific deficiencies. Service Provider shall, at its own expense, cure such deficiencies within [Number] ([XX]) business days of receipt of notice, whereupon the acceptance procedure shall repeat.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Work Made for Hire / Assignment: Upon full and final payment of all undisputed fees associated with a specific deliverable, Service Provider hereby assigns to Client all right, title, and interest (including all intellectual property rights) in and to such custom deliverables created expressly for Client hereunder ("Work Product"). 5.2 Pre-Existing Intellectual Property: Service Provider retains all right, title, and interest in and to its pre-existing tools, methodologies, software, and know-how ("Background IP"). Service Provider grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use such Background IP solely as incorporated into or necessary for the use of the Work Product.

6. CHANGE ORDER MANAGEMENT

6.1 Process: Any modifications, additions, or reductions to the scope of Services, timeline, or fees must be executed via a written Change Order signed by authorized representatives of both parties. 6.2 Pending Changes: Service Provider is not obligated to perform any out-of-scope work until a formal Change Order is fully executed.

7. LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Incorporation of MSA: The liability caps, waivers of consequential damages, and indemnification obligations set forth in the MSA shall govern this SOW and apply to all claims arising out of or relating to the Services provided hereunder.

5. STEP-BY-STEP EXECUTION GUIDE

  1. Verify Master Agreement: Confirm that a valid, signed Master Services Agreement (MSA) exists between the Client and Service Provider. This SOW derives its legal enforceability from that foundational contract.
  2. Complete Fillable Fields: Replace all bracketed placeholder text (e.g., [Company Name], [Date], [Amount]) with exact, verified operational and financial data. Ensure all Schedules (A through D) are fully articulated and attached.
  3. Legal & Financial Review: Route the completed draft to internal legal counsel for compliance verification and to finance/accounting to validate payment terms, tax implications, and currency designations.
  4. Execution: Obtain authorized signatures from both corporate entities. Digital signatures via certified platforms (e.g., DocuSign, Adobe Sign) are legally binding if compliant with e-signature regulations (e.g., ESIGN Act, eIDAS).
  5. Filing & Archiving: Store the fully executed PDF in the corporate contract repository or legal document management system. Distribute operational copies to the designated Project Managers for SLA tracking.
  6. Change Management Tracking: Attach any subsequent modifications, scope shifts, or budget alterations strictly as sequentially numbered Change Orders (CO-01, CO-02) tied back to this master SOW record.
