INSTRUCTIONS FOR USE

• Preparation: This document must be completed by the Hiring Entity’s operations lead or legal department. All bracketed fields must be populated before execution.
• Filing & Retention: Both parties should retain an executed digital copy. The Hiring Entity must archive this document for a minimum of seven (7) years to ensure compliance with tax and audit requirements.
• Attachments: Mandatory attachments include: Exhibit A (Scope of Work/Deliverables) and Exhibit B (Brand Guidelines/Asset Ownership Policy).

4. INTELLECTUAL PROPERTY & OWNERSHIP

All content, graphics, strategies, and digital assets created by the Freelancer under this Agreement are deemed "work-for-hire." The Client retains 100% ownership of all rights, titles, and interests in the final deliverables upon full payment of fees.

5. CONFIDENTIALITY

Freelancer acknowledges that they may be exposed to proprietary trade secrets, passwords, and strategic plans. Freelancer agrees to maintain strict confidentiality during and after the term of this engagement.

6. INDEPENDENT CONTRACTOR STATUS

The Freelancer is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. Freelancer is responsible for all self-employment taxes and withholdings.

7. TERMINATION

Either party may terminate this Agreement with [__________] days' written notice. In the event of early termination, the Freelancer shall be compensated for all services performed up to the date of termination.

8. GOVERNING LAW
