SOCIAL MEDIA CONTENT STRATEGY & SCHEDULING AGREEMENT

1. PURPOSE

The Client hereby engages the Provider to develop, manage, and execute the social media content calendar (the "Deliverables") as outlined in Exhibit A (attached hereto).

2. SCOPE OF SERVICES

The Provider shall furnish the following services:

• Platform Management: ________________________________________________
• Content Frequency: ______ posts per week/month.
• Approval Workflow: All content shall be submitted by the Provider to the Client for review ______ business days prior to the scheduled publication date.
• Revisions: The Client is entitled to ______ rounds of revisions per content cycle.

3. TERM AND TERMINATION

This Agreement shall commence on __________________ and remain in effect until __________________. Either party may terminate this Agreement upon ______ days’ written notice to the other party. In the event of early termination, the Client shall pay for all services rendered up to the date of termination.

4. COMPENSATION

5. INTELLECTUAL PROPERTY

Upon full payment of all fees due, the Provider grants the Client an exclusive, worldwide, royalty-free license to use, reproduce, and distribute the social media content created under this Agreement. The Provider retains ownership of their underlying working files and pre-existing proprietary methodologies.

6. CONFIDENTIALITY

The Provider acknowledges that during the course of this engagement, they may have access to the Client’s trade secrets, marketing strategies, and sensitive business data. The Provider agrees to maintain the strict confidentiality of such information and shall not disclose it to any third party without express written consent.

7. LIMITATION OF LIABILITY

The Provider’s total liability for any claims arising out of this Agreement shall not exceed the total amount paid by the Client to the Provider during the ______ month(s) preceding the claim.
