SOCIAL MEDIA CONTENT STRATEGY & SCHEDULING AGREEMENT

THIS AGREEMENT (the "Agreement") is entered into as of this ______ day of ________, 20 (the "Effective Date"), by and between:

SERVICE PROVIDER: ________________________________________, with a principal place of business located at ________________________________________________ (the "Provider").

1. SCOPE OF SERVICES

The Provider shall develop, manage, and execute a Social Media Content Calendar (the "Calendar") for the Client’s digital platforms, specifically: ________________________________________________. Services include, but are not limited to, content drafting, visual asset curation, scheduling, and performance reporting.

2. CONTENT CALENDAR SPECIFICATIONS

The Provider shall adhere to the following scheduling parameters:

• Frequency of Posts: ______ posts per [week/month].

• Content Pillars/Themes: ________________________________________________.
• Approval Workflow: The Provider shall submit the draft Calendar to the Client by the ______ day of each month for review and written approval.

4. COMPENSATION

5. INTELLECTUAL PROPERTY RIGHTS

All content created by the Provider under this Agreement shall be considered "work-for-hire." Upon full payment of all fees due, the Client shall own all right, title, and interest in and to the final content developed hereunder. The Provider warrants that all original content provided does not infringe upon the intellectual property rights of any third party.

6. CONFIDENTIALITY

The Provider acknowledges that they may have access to the Client’s proprietary information, including but not limited to marketing strategies, customer data, and trade secrets. The Provider agrees to maintain strict confidentiality and shall not disclose such information to any third party without prior written consent from the Client.

7. LIMITATION OF LIABILITY

In no event shall the Provider be liable for any indirect, incidental, or consequential damages arising out of or in connection with the social media services provided, including loss of profits or data. The total liability of the Provider under this Agreement shall not exceed the total fees paid by the Client during the ______-month period preceding the claim.

8. GOVERNING LAW
