SOCIAL MEDIA CONTENT STRATEGY & SCHEDULING AGREEMENT

THIS AGREEMENT is entered into on this ______ day of ___________, 20 (the "Effective Date"), by and between:

CLIENT: ________________________________________, with a principal place of business at ________________________________________ ("Client"), and

SERVICE PROVIDER: ________________________________________, with a principal place of business at ________________________________________ ("Provider").

1. SCOPE OF SERVICES

The Provider agrees to utilize the Hootsuite platform to manage, schedule, and publish content for the Client’s social media accounts. The scope includes:

• Platform(s) to be managed: ________________________________________________
• Number of posts per week/month: __________________________________________
• Content Calendar Approval Cycle: The Provider shall submit a monthly calendar by the ______ day of each preceding month. The Client shall provide feedback or formal approval by the ______ day of the same month.

2. HOOTSUITE ACCOUNT ACCESS

The Client shall grant the Provider access to the Hootsuite Dashboard via:

• Authentication: The Client agrees to provide credentials or invite the Provider via official email association. The Provider shall maintain the confidentiality of all login credentials provided.

3. CONTENT COMPLIANCE AND OWNERSHIP

• Intellectual Property: All content created by the Provider for the Client shall be considered "work made for hire." Upon payment in full, the Client shall retain all intellectual property rights to said content.
• Compliance: The Client warrants that all assets, trademarks, and logos provided to the Provider for scheduling are owned by the Client or that the Client possesses all necessary licenses for their commercial use.
• Disclaimer: The Provider shall not be held liable for social media platform algorithm changes, account suspensions, or public backlash resulting from content pre-approved by the Client.

4. COMPENSATION

The Client agrees to pay the Provider the following fees:

• Monthly Retainer: $________________ (USD/Local Currency)

• Late Fee: Payments not received within ______ days of the due date shall incur a late fee of ______%.

5. TERM AND TERMINATION

6. CONFIDENTIALITY
