SOCIAL MEDIA CONTENT STRATEGY AND EXECUTION AGREEMENT

1. SCOPE OF SERVICES

The Provider agrees to develop, populate, and maintain a Social Media Content Calendar (the "Calendar") in accordance with the specifications provided in the attached "Exhibit A: Calendar Specifications." The Calendar shall serve as the authoritative record for all social media distributions for the [___________] period.

2. CALENDAR DELIVERABLES

The Calendar shall be provided in a Microsoft Excel (.xlsx) format and shall include the following mandatory fields for each content entry:

In consideration for the creation and management of the Calendar, the Client agrees to pay the Provider as follows:

4. INTELLECTUAL PROPERTY

Upon receipt of full payment, all rights, titles, and interests in the content generated within the Calendar shall be deemed "Work Made for Hire" and shall vest exclusively in the Client. The Provider retains no rights to use such content for secondary purposes without express written consent.

5. CONFIDENTIALITY

The parties agree to maintain the strict confidentiality of all data, proprietary strategy, and login credentials contained within or associated with the Calendar. This obligation shall survive the termination of this Agreement for a period of [___________] years.

6. TERMINATION

Either party may terminate this Agreement upon [___________] days’ written notice. In the event of termination, the Provider shall submit all finalized Excel files to the Client within [___________] business days of the termination notice.
