INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement (the "Agreement") is entered into as of this ______ day of __________________, 20____ (the "Effective Date"), by and between:

CLIENT: ____________________________________________________________, with a principal place of business located at ____________________________________________________________ ("Client"),

AND

CONTRACTOR: ____________________________________________________________, with a principal place of business located at ____________________________________________________________ ("Contractor").

The Client and the Contractor may collectively be referred to as the "Parties."

1. SERVICES TO BE PERFORMED

2. TERM

This Agreement shall commence on __________________ and shall continue until the Services are completed, unless terminated earlier in accordance with the terms of this Agreement.

3. COMPENSATION

The Contractor shall be responsible for all taxes, withholdings, and other statutory obligations. The Client shall not withhold any sums from the compensation for federal or state income taxes, social security, or any other payroll taxes.

4. INDEPENDENT CONTRACTOR STATUS

The Contractor is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee, or agency relationship between the Parties. The Contractor shall not be entitled to any benefits provided by the Client to its employees.

5. CONFIDENTIALITY

The Contractor acknowledges that during the term of this Agreement, they may have access to confidential information regarding the Client’s business. The Contractor agrees to maintain the confidentiality of all such information and shall not disclose it to any third party without the prior written consent of the Client.

6. WORK PRODUCT AND INTELLECTUAL PROPERTY

All deliverables, work product, and inventions created by the Contractor in the performance of the Services under this Agreement shall be the sole and exclusive property of the Client. The Contractor hereby assigns all rights, title, and interest in such work product to the Client.

7. TERMINATION

Either party may terminate this Agreement upon ______ days' written notice to the other party. In the event of termination, the Client shall pay the Contractor for all Services satisfactorily performed up to the date of termination.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State/Province of ______________________________.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior understandings, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both Parties.
