SHAREHOLDER AGREEMENT

THIS SHAREHOLDER AGREEMENT (the "Agreement") is entered into as of [Effective Date] (the "Effective Date") by and among:

[Shareholder Name], residing at [Address], and/or [Entity Name], a corporation incorporated under the laws of [Jurisdiction], with its principal place of business at [Address] (collectively, the "Shareholders").

RECITALS

WHEREAS, the Company is a duly incorporated entity with an authorized share capital consisting of [Number] shares of common stock (the "Shares");

WHEREAS, the Shareholders are the legal and beneficial owners of the Shares set forth opposite their respective names in Schedule A; and

WHEREAS, the parties desire to enter into this Agreement to govern their respective rights, duties, and obligations with respect to the management, operation, and ownership of the Company.

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1. "Affiliate" means any person or entity that directly or indirectly controls, is controlled by, or is under common control with a Party. 1.2. "Board" means the Board of Directors of the Company. 1.3. "Business Day" means any day other than a Saturday, Sunday, or a day on which banking institutions in [Jurisdiction] are authorized or obligated by law to close. 1.4. "Confidential Information" means all non-public, proprietary information relating to the Company’s business, trade secrets, technology, and financial data. 1.5. "Transfer" means any sale, assignment, encumbrance, pledge, or other disposition of Shares, whether voluntary or involuntary.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Governance and Board Representation: The Shareholders agree to vote all Shares held by them to ensure that the Board is composed of [Number] members, as determined by the majority vote of the Shareholders. 2.2. Pre-emptive Rights: If the Company proposes to issue new Shares, each Shareholder shall have the right to purchase a pro-rata portion of such new Shares to maintain their current ownership percentage. 2.3. Right of First Refusal: Should a Shareholder wish to Transfer any Shares to a third party, they must first offer said Shares to the remaining Shareholders on the same terms and conditions before disposing of them to an outside party. 2.4. Representations and Warranties: Each Shareholder represents and warrants that they have the full legal power and authority to enter into this Agreement and that such execution does not violate any other contractual obligation.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Events of Default: A Party shall be in default if they: (i) fail to perform any material obligation under this Agreement; or (ii) file for bankruptcy or insolvency proceedings. 3.2. Notice and Cure: Upon the occurrence of a default, the non-breaching party shall provide written notice of such default. The breaching party shall have 30 business days from the receipt of such notice to cure the default. 3.3. Legal Recourse: If the breach remains uncured after the 30-day period, the non-breaching party may seek injunctive relief, specific performance, or damages in a court of competent jurisdiction. 3.4. Termination: This Agreement shall terminate upon: (i) the written agreement of all Shareholders; (ii) the dissolution or liquidation of the Company; or (iii) a qualified Initial Public Offering (IPO).

4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 4.2. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements, whether written or oral. 4.3. Force Majeure: No party shall be liable for failure to perform due to causes beyond their reasonable control, including acts of God, war, or government regulation. 4.4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. 4.5. Dispute Resolution: Any dispute arising out of this Agreement shall be settled by binding arbitration in [Jurisdiction] under the rules of the [Arbitration Association].
