Any purported Transfer in violation of this Agreement shall be null and void ab initio, shall not be recognized by the Company, and shall confer no rights upon the purported transferee.

2.3. Right of First Refusal (ROFR)

If any Shareholder (the "Selling Shareholder") receives a bona fide written offer from a third party to purchase all or any portion of their Shares (the "Offered Shares") that the Selling Shareholder desires to accept, the Selling Shareholder shall first give written notice (the "Transfer Notice") to the Company and the non-selling Shareholders. 2.5. Drag-Along Rights

If Shareholders holding at least [Percentage, e.g., 60%] of the voting power of the Company (the "Dragging Shareholders") approve a Deemed Liquidation Event or a sale of all outstanding Shares to an independent third-party purchaser, the Dragging Shareholders shall have the right to compel all other Shareholders (the "Dragged Shareholders") to vote in favor of, consent to, and sell all of their respective Shares in connection with such transaction upon the same terms and conditions approved by the Dragging Shareholders.

2.6. Representations and Warranties of Shareholders

Each Shareholder severally represents and warrants to the Company and to each other Shareholder that: (a) Such Shareholder has full power, legal capacity, and authority to execute, deliver, and perform this Agreement. (b) This Agreement constitutes a legal, valid, and binding obligation of such Shareholder, enforceable against them in accordance with its terms. (c) The execution and delivery of this Agreement and the performance of its obligations hereunder do not and will not conflict with, violate, or constitute a default under any contract, agreement, or judicial order to which such Shareholder is a party or by which their assets are bound. (d) Such Shareholder is the sole legal and beneficial owner of the Shares set forth opposite their name on Exhibit A, free and clear of any and all Encumbrances.

If an Event of Default is not cured within the applicable Cure Period, the non-defaulting parties and/or the Company may, at their sole discretion, pursue any and all available legal and equitable remedies, including but not limited to: (a) Specific Performance and Injunction: The parties acknowledge that monetary damages would be inadequate to compensate for a breach of this Agreement. Accordingly, the non-defaulting parties shall be entitled to seek temporary, preliminary, and permanent injunctive relief and decrees of specific performance to enforce compliance with this Agreement. (b) Compulsory Buyout: The non-defaulting Shareholders or the Company shall have the option to purchase all of the defaulting Shareholder's Shares at seventy-five percent (75%) of the Book Value or Fair Market Value of the Shares, whichever is lower, payable in installments over a period not to exceed twelve (12) months.
