SHAREHOLDER AGREEMENT EXAMPLE

This Shareholder Agreement (the "Agreement") is entered into as of [Effective Date] (the "Effective Date") by and between [Company Name], a [Jurisdiction] corporation (the "Company"), and the undersigned shareholders, [Shareholder Name(s)] (each a "Shareholder" and collectively the "Shareholders").

1. RECITALS

WHEREAS, the Company is a [Jurisdiction] corporation duly organized and existing under the laws of [Jurisdiction]; WHEREAS, the Shareholders are the registered owners of the issued and outstanding capital stock of the Company; WHEREAS, the Parties desire to set forth their respective rights, duties, and obligations regarding the governance, management, and transfer of shares of the Company to ensure business continuity and alignment of interests.

2. OPERATIONAL DEFINITIONS

1. "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the referenced Party.
2. "Business Day" means any day other than a Saturday, Sunday, or a day on which banking institutions in [Jurisdiction] are authorized or required by law to be closed.
3. "Capital Contribution" means the cash or property contributed by a Shareholder to the Company in exchange for shares.
4. "Encumbrance" means any mortgage, lien, pledge, charge, security interest, or other encumbrance or restriction of any kind.
5. "Majority Interest" means shareholders holding more than [Percentage]% of the voting power of the Company.
6. "Transfer" means any sale, assignment, gift, bequest, or other disposition of shares, whether voluntary or involuntary.

3. SUBSTANTIVE TERMS & OBLIGATIONS

1. Capitalization: The initial equity structure of the Company is set forth in Schedule A. Shareholders shall make additional capital contributions only upon the unanimous consent of the Board of Directors.
2. Governance: The Company shall be managed by a Board of Directors. Each Shareholder holding at least [Percentage]% of shares shall be entitled to appoint one (1) director.
3. Right of First Refusal: If any Shareholder desires to Transfer shares, they must first offer said shares to the Company, then to the remaining Shareholders, at the same price and terms offered by a bona fide third party.
4. Performance Metrics: Shareholders who are also employees of the Company shall adhere to the performance standards and Key Performance Indicators (KPIs) outlined in their respective Employment Agreements.
5. Representations: Each Shareholder represents and warrants that they possess the legal capacity to enter into this Agreement and that such execution does not violate any other contractual obligation.

4. DEFAULT, TERMINATION, AND REMEDIES

1. Events of Default: A Party shall be in default if they: (i) breach any material term of this Agreement; (ii) become insolvent or file for bankruptcy; or (iii) fail to perform duties as required by the Company’s bylaws.
2. Notice and Cure: In the event of a breach, the non-breaching Party shall provide written notice. The breaching Party shall have thirty (30) Business Days from the receipt of such notice to cure the breach to the reasonable satisfaction of the non-breaching Party.
3. Remedies: If a breach remains uncured, the non-breaching Party may: (i) seek specific performance; (ii) pursue injunctive relief; or (iii) exercise a compulsory buy-out option at a valuation determined by a third-party appraiser.

5. BOILERPLATE LEGAL PROVISIONS

1. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
2. Entire Agreement: This document constitutes the entire agreement between the Parties and supersedes all prior understandings, whether written or oral.
3. Force Majeure: No Party shall be liable for failure to perform due to causes beyond their reasonable control, including acts of God, war, or governmental regulation.
4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
