NOW, THEREFORE, in consideration of the mutual covenants, promises, and releases contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Settlement Consideration
In complete and final satisfaction of all claims released under this Agreement, the Company shall pay to the Releasor the total sum of [Amount in USD] United States Dollars ([Amount in Words]) (the "Settlement Amount"). Payment shall be remitted via wire transfer, ACH, or corporate check within [Number] business days following the Effective Date of this Agreement and the delivery of an executed copy of this Agreement to the Company's legal counsel, subject to Section 2 below. The Releasor acknowledges that the Company is under no obligation to issue any Form 1099 or W-2 other than as required by applicable tax law, and the Releasor assumes sole responsibility for all tax liabilities, penalties, and interest associated with the Settlement Amount.
2. General Release of Claims
2.1 Releasor’s Release: The Releasor, for themselves and on behalf of their heirs, executors, administrators, successors, and assigns, hereby unconditionally and irrevocably releases, acquits, and forever discharges the Company, its past, present, and future parent entities, subsidiaries, divisions, affiliates, shareholders, directors, officers, employees, agents, attorneys, insurers, and predecessors and successors in interest (collectively, the "Released Parties"), from any and all charges, complaints, claims, liabilities, obligations, promises, agreements, controversies, damages, actions, causes of action, suits, rights, demands, costs, losses, debts, and expenses of any nature whatsoever, known or unknown, suspected or unsuspected, whether in law or in equity, contractual or tortious, federal, state, or local, which the Releasor ever had, now has, or may claim to have against the Released Parties arising out of, relating to, or connected with any event, act, omission, transaction, or matter occurring up to and including the Effective Date of this Agreement, including without limitation any claims arising from the Dispute.
2.2 Waiver of Unknown Claims (Civil Code Section 1542 or Equivalent): The Releasor expressly acknowledges that they have read and understand Section 1542 of the Civil Code of the State of California (and/or equivalent statutory provisions of other jurisdictions), which provides as follows:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
The Releasor knowingly and voluntarily waives and relinquishes all rights and benefits that they may have under Section 1542 or any other statutory or common law principle of similar effect. The Releasor acknowledges that they may hereafter discover facts different from or in addition to those which they now know or believe to be true with respect to the matters released herein, but agrees that this Agreement shall remain in full force and effect regardless of any such new or additional facts.
2.3 Exclusion from Release: Notwithstanding anything to the contrary herein, this general release does not apply to: (a) any claims to enforce the terms of this Agreement; (b) any claims or rights that, by applicable law, cannot be waived by private agreement; or (c) indemnification rights the Releasor may possess under the Company's corporate bylaws, articles of incorporation, or directors and officers liability insurance policies.
3. Covenant Not to Sue
The Releasor represents, warrants, and covenants that they have not filed, initiated, or caused to be filed or initiated, and will not hereafter file, initiate, or cause to be filed or initiated, any lawsuit, administrative complaint, charge, arbitration, or legal proceeding of any kind against any of the Released Parties in any forum, domestic or international, based upon, arising out of, or relating to any claim released under Section 2 of this Agreement. If any court or agency assumes jurisdiction of any charge, claim, or complaint covered by this release, the Releasor will promptly request that such court or agency dismiss the matter with prejudice.
4. Representations and Warranties
4.1 Authority and Capacity: Each Party represents and warrants that they possess full legal capacity, power, and authority to enter into this Agreement and to perform all obligations hereunder. If executing on behalf of an entity, the signatory represents and warrants that they have been duly authorized by all necessary corporate or organizational action to execute this Agreement.
4.2 No Prior Assignment: The Releasor represents and warrants that they have not assigned, transferred, hypothecated, or sold, or purported to assign, transfer, hypothecate, or sell, to any third party, any claim or portion thereof released under this Agreement.
4.3 Voluntary Execution: Each Party acknowledges that they have read this Agreement thoroughly, understand all of its terms, have been advised to seek independent legal counsel of their own choosing, and have executed this Agreement voluntarily, free from any coercion, duress, or undue influence.

Any unauthorized disclosure of the Settlement Terms shall constitute a material breach of this Agreement.
6. Non-Disparagement
The Parties mutually agree that they will not, directly or indirectly, make, publish, or communicate any disparaging, defamatory, or negative remarks, comments, or statements concerning one another, or concerning the Released Parties' products, services, business operations, officers, directors, or employees, to any media outlet, industry participant, customer, client, or member of the public. Nothing in this section shall prevent either Party from providing truthful testimony or information pursuant to subpoena, court order, or governmental inquiry.
7. Intellectual Property & Return of Property
7.1 Return of Materials: Within [Number] business days following the Effective Date, the Releasor shall return to the Company all property belonging to the Company, including without limitation all company-issued hardware, security badges, keys, records, data, customer lists, and proprietary documents, whether stored physically or digitally, and shall permanently delete any digital copies thereof.
7.2 Proprietary Rights: The Releasor acknowledges that all intellectual property, work product, inventions, designs, and trade secrets created, developed, or conceived by the Releasor during their relationship with the Company remain the exclusive property of the Company.
8. Limitation of Liability & Indemnification

8.2 Indemnification: The Releasor agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all losses, damages, liabilities, claims, penalties, and expenses (including reasonable attorneys' fees) incurred by the Released Parties arising out of or resulting from: (a) any breach by the Releasor of any representation, warranty, or covenant contained in this Agreement; or (b) any third-party claims assigned or purportedly assigned by the Releasor in violation of Section 4.2.
9. Dispute Resolution & Arbitration

9.2 Arbitration Procedures: The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The language of the arbitration shall be English. The arbitrator shall issue a reasoned written award, which shall be final and binding upon the Parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each Party shall bear its own attorneys' fees and costs, provided that the arbitrator may award reasonable costs and fees to the prevailing party in accordance with applicable law.
10. Governing Law & Jurisdiction
This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Governing State], without regard to its conflict of laws principles. Subject to Section 9, the Parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located within [County], [Governing State] for any legal action or proceeding arising out of this Agreement.
11. Miscellaneous Provisions
11.1 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
11.2 Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
11.3 Amendments and Waivers: No amendment, modification, or discharge of this Agreement shall be valid unless set forth in a writing signed by authorized representatives of both Parties. No waiver of any provision of this Agreement shall be deemed a waiver of any other provision or a continuing waiver unless explicitly stated in writing.
