SERVICE LEVEL AGREEMENT (SLA)

THIS AGREEMENT is made and entered into on this ______ day of ____________________, 20____ (the "Effective Date").

(The Service Provider and the Client are collectively referred to as the "Parties" and individually as a "Party").

1. INTERPRETATION AND DEFINITIONS

1.1. "Services" shall mean the services described in Annexure A attached hereto. 1.2. "Service Levels" shall mean the performance standards to be met by the Service Provider as set out in this Agreement. 1.3. "Business Day" means any day other than a Saturday, Sunday, or official public holiday in the Republic of South Africa.

2. DURATION

2.1. This Agreement shall commence on the Effective Date and shall continue for a period of ______ months/years, unless terminated earlier in accordance with the provisions of this Agreement.

3. SCOPE OF SERVICES

3.1. The Service Provider shall provide the Services to the Client with the degree of skill, care, and diligence expected of a professional service provider in South Africa. 3.2. The Service Provider shall adhere to the Service Level targets specified in Annexure B.

4. PAYMENT TERMS

4.1. In consideration for the Services, the Client shall pay the Service Provider the sum of R__________ (excluding VAT) per [month/project]. 4.2. Invoices shall be submitted by the Service Provider to the Client and shall be payable within ______ ([e.g., thirty (30)]) days of the date of the tax invoice. 4.3. Any late payments shall attract interest at the prime rate charged by [____________________] Bank, plus ______% per annum.

5. CONFIDENTIALITY

5.1. Each Party shall maintain the confidentiality of all information received from the other Party which is marked as confidential or is by its nature confidential, and shall not disclose such information to any third party without prior written consent.

6. BREACH AND TERMINATION

6.1. If either Party commits a material breach of this Agreement and fails to remedy such breach within ______ ([e.g., fourteen (14)]) days of receiving written notice to do so, the aggrieved Party may terminate this Agreement immediately. 6.2. Either Party may terminate this Agreement by providing ______ days' written notice to the other Party.

7. LIMITATION OF LIABILITY

7.1. Neither Party shall be liable to the other for any indirect, consequential, or special damages, including loss of profits, arising out of or in connection with this Agreement.

8. GOVERNING LAW AND JURISDICTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. 8.2. The Parties hereby consent to the non-exclusive jurisdiction of the [High Court of South Africa, ____________________ Division] in respect of any disputes arising out of this Agreement.
