5. LIABILITY & GOVERNING LAW

• Limitation of Liability: Total aggregate liability under this Agreement shall not exceed the Fees paid in the 12 months preceding the claim.
• Governing Law: This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the Courts of Hong Kong.
