INSTRUCTIONS FOR USE

• Completion: This document must be completed by the authorized signatories of the Service Provider and the Client. Ensure all annexes are appended before execution.
• Filing & Retention: Retain the original executed copy in a secure physical or digital repository. In compliance with the Bureau of Internal Revenue (BIR) and the Corporation Code of the Philippines, retain this document for a period of seven (7) years from the date of contract expiration.
• Mandatory Attachments: Ensure the following are attached: (a) Scope of Work (Annex A), (b) Schedule of Fees (Annex B), and (c) Proof of Authority (Secretary’s Certificate or Board Resolution).

1. PARTIES

This Service Agreement ("Agreement") is entered into by and between: CLIENT: [], a corporation duly organized under the laws of the Philippines, with principal office at [], represented herein by []. SERVICE PROVIDER: [], with office address at [], represented herein by [].

2. SCOPE OF SERVICES

The Service Provider shall perform the services described in Annex A (the "Services"). The Service Provider represents that it possesses the requisite expertise, licenses, and permits required under Philippine law to perform said services.

3. TERM

This Agreement shall commence on [//2026] and shall continue until [//2026], unless terminated earlier in accordance with the provisions herein.

4. CONSIDERATION AND PAYMENT TERMS

5. INDEPENDENT CONTRACTOR STATUS

The parties agree that the Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship between the Client and the Service Provider or its personnel. The Service Provider is solely responsible for all statutory contributions (SSS, PhilHealth, Pag-IBIG).

6. CONFIDENTIALITY

The Service Provider agrees to hold all proprietary information disclosed by the Client in strict confidence and shall not disclose such information to any third party without prior written consent, in accordance with the Data Privacy Act of 2012 (R.A. 10173).

7. TERMINATION

Either party may terminate this Agreement upon [__________] days’ written notice for material breach. The Client may terminate immediately for cause, including but not limited to, fraudulent acts, gross negligence, or violation of applicable laws.

8. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising hereunder shall be submitted to the exclusive jurisdiction of the courts of [__________________], Philippines.
