INSTRUCTIONS FOR USE

• Completion: Both the Service Provider and the Client must complete all bracketed fields. Ensure the "Scope of Services" is explicitly defined to prevent scope creep.
• Filing & Retention: This original signed document must be stored in a secured physical or digital vault. Per Philippine accounting and tax standards, retain this record for a minimum of ten (10) years from the date of termination.
• Mandatory Attachments: Ensure Annex A (Scope of Work), Annex B (Payment Schedule), and, if applicable, a Non-Disclosure Agreement (NDA) are attached and initialed by both parties.

6. CONFIDENTIALITY

The Service Provider shall maintain the confidentiality of all proprietary information disclosed by the Client. This obligation survives the termination of this Agreement for a period of [____] years.

7. GOVERNING LAW & DISPUTE RESOLUTION
