For the purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall apply to both singular and plural forms:

- "Applicable Law" means all federal, state, local, and international laws, regulations, rules, executive orders, and regulatory guidance governing privacy, data security, cybersecurity, breach notification, and the protection of Confidential Information, including but not limited to the California Consumer Privacy Act (CCPA), the EU General Data Protection Regulation (GDPR), and sector-specific regulations.

- "Corrective Action Plan" means a documented, comprehensive strategy formulated by the Receiving Party to remediate vulnerabilities, eliminate root causes, and prevent the recurrence of a Security Incident.
- "Data Subject" means an identified or identifiable natural person to whom Personal Data relates, as defined under Applicable Law.
- "Personal Data" means any information relating to an identified or identifiable natural person processed by the Receiving Party in connection with the Underlying Agreement.
- "Root Cause Analysis" means a systematic investigative process utilized to identify the fundamental, underlying origin of a Security Incident rather than merely addressing its symptoms.
- "Security Incident" means any confirmed or reasonably suspected accidental, unauthorized, or unlawful acquisition, access, destruction, loss, modification, leakage, or disclosure of Disclosing Party's Confidential Information or Personal Data systems maintained or processed by the Receiving Party or its subcontractors.
3. Substantive Terms & Obligations
- Mandatory Reporting and Timelines: The Receiving Party shall provide formal written notice of any Security Incident to the Disclosing Party via the reporting form attached hereto without undue delay, and in no event later than twenty-four (24) hours after becoming aware of or reasonably suspecting such Security Incident.
- Information Content Requirements: The initial and subsequent Security Incident Reports submitted by the Receiving Party shall contain, at a minimum: (a) a detailed description of the nature and scope of the Security Incident; (b) the categories and approximate number of Data Subjects and records concerned; (c) the identity of affected systems; (d) the estimated timeline of the event; (e) mitigation measures already implemented; and (f) the name and contact details of the Receiving Party’s Data Protection Officer or security lead.

4. Default, Termination, and Remedies
- Classification of Breach: Any failure by the Receiving Party to timely report a Security Incident, failure to cooperate with forensic investigations, or material breach of the security obligations set forth herein shall constitute a material, non-curable default of this Agreement and the Underlying Agreement.
- Notice and Cure Period: For curable breaches under this Agreement not involving direct unauthorized access to Personal Data, the non-defaulting Party shall provide written notice specifying the nature of the default. The defaulting Party shall have a period of thirty (30) business days from receipt of such notice to fully cure the default to the reasonable satisfaction of the Disclosing Party.
- Immediate Termination Rights: In the event of a material breach constituting a Security Incident resulting from the gross negligence, willful misconduct, or un-remediated vulnerability of the Receiving Party, the Disclosing Party reserves the right to immediately terminate the Underlying Agreement and this Agreement, with zero penalty, upon written notice.
- Legal Recourse and Indemnification: The Receiving Party shall defend, indemnify, and hold harmless the Disclosing Party, its Affiliates, officers, directors, and employees from and against any and all claims, regulatory fines, penalties, third-party legal actions, losses, damages, liabilities, and reasonable attorney fees arising out of or resulting from a Security Incident caused by the Receiving Party's acts or omissions.
- Injunctive Relief: The Parties acknowledge that any breach of confidentiality or data security obligations may cause irreparable harm for which monetary damages alone would be inadequate. 5. Boilerplate Legal Provisions
- Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

- Force Majeure: Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations and data security obligations) to the extent such failure is caused by acts of God, natural disasters, war, terrorism, or public utility electrical failures beyond reasonable control ("Force Majeure Event"), provided that the affected Party gives prompt written notice and uses diligent efforts to resume performance.
- Governing Law: This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State/Country of
