RECITALS

WHEREAS, Landlord and Tenant entered into that certain Lease Agreement dated [Lease Date] (the "Lease"), pursuant to which Landlord leased to Tenant and Tenant leased from Landlord the real property located at [Property Address] (the "Premises"); and

WHEREAS, Landlord provides this formal notice to Tenant requiring Tenant to vacate and surrender possession of the Premises in strict accordance with the terms set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

SECTION 1. OPERATIONAL DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall apply equally to the singular and plural forms of the terms defined:

1.1. "Business Day" means any calendar day other than a Saturday, Sunday, or a statutory holiday recognized by the state or federal government within the Jurisdiction.

1.2. "Default" means any breach, failure, or refusal by Tenant to perform, observe, or comply with any covenant, agreement, term, provision, or condition of this Agreement or the Lease.

1.3. "Effective Date" has the meaning ascribed in the preamble of this Agreement.

1.4. "Jurisdiction" means the courts and statutory governing bodies located within [County, State/Country].

1.5. "Landlord" means [Landlord Name/Entity], and its successors, assigns, and authorized agents.

1.6. "Lease" means that certain written lease agreement dated [Lease Date] governing the occupancy of the Premises by Tenant.

1.7. "Notice Period" means the mandatory cure or compliance timeframe of thirty (30) Business Days from the date of service of this Notice, expiring on [Expiration Date] at 11:59 PM local time.

1.8. "Premises" means the real property and all improvements located at [Property Address], including any appurtenances, parking spaces, and storage units assigned thereto.

1.9. "Tenant" means [Tenant Name/Entity], and its permitted successors, assigns, sublessees, and occupants.

SECTION 2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Termination of Tenancy. Tenant’s right, title, and interest in and to the occupancy of the Premises is hereby formally terminated effective as of midnight on [Termination Date] (the "Termination Date"). Tenant is strictly required to vacate and surrender the Premises to Landlord on or before the Termination Date.

2.2. Condition of Surrender. Upon vacating the Premises, Tenant shall surrender possession of the Premises to Landlord in the same clean, orderly, and undamaged condition as existed on the commencement date of the Lease, ordinary wear and tear excepted. Tenant shall remove all personal property, trade fixtures, and debris belonging to Tenant or its invitees. Any property remaining after the Termination Date shall be conclusively deemed abandoned and may be disposed of by Landlord at Tenant's sole expense, without liability to Landlord.

2.3. Key and Access Device Surrender. Tenant shall surrender all keys, electronic access cards, garage door openers, security codes, and gate clickers pertaining to the Premises to Landlord no later than 5:00 PM local time on the Termination Date.

2.4. Pre-Surrender Inspection. Landlord or Landlord’s designated agent shall have the right to conduct a joint walk-through inspection of the Premises with Tenant prior to the Termination Date, provided Landlord gives Tenant at least twenty-four (24) hours' prior notice. Tenant shall remain liable for any deficiencies identified during such inspection pursuant to Section 4.

2.5. Financial Obligations and Rent Accrual. Tenant expressly acknowledges and agrees that the issuance of this Notice does not relieve Tenant of the obligation to pay rent and other monetary charges accrued or accruing under the Lease through the Termination Date. Prorated rent in the amount of [Dollar Amount] shall be immediately due and payable for the final partial rental period.

2.6. Representations and Warranties. Tenant represents and warrants that: (a) Tenant has not assigned, sublet, or transferred the Lease or any interest in the Premises to any third party; (b) no liens, encumbrances, or security interests attach to the Premises through acts of Tenant; and (c) the signatory executing this Notice on behalf of Tenant possesses full legal capacity and corporate authority to bind Tenant.

SECTION 3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Classification of Breach. Any failure by Tenant to fully perform its obligations under this Agreement—including, without limitation, the failure to vacate and surrender the Premises by the Termination Date—shall constitute an immediate, material Default of this Agreement and the underlying Lease.

3.2. Notice Cure Period. In the event of a monetary or non-monetary Default capable of being cured, Landlord shall provide Tenant with a written notice specifying the nature of the Default. Tenant shall have a period of thirty (30) Business Days from the date of transmission of such notice to fully cure the specified Default. If the Default is incapable of cure or involves the failure to vacate the Premises by the Termination Date, no cure period shall apply, and Landlord may immediately pursue legal remedies.

3.3. Legal Recourse and Unlawful Detainer. If Tenant fails to vacate the Premises or otherwise cure a Default within the applicable Notice Period, Landlord reserves the absolute right to initiate immediate legal action, including summary eviction proceedings (unlawful detainer), in a court of competent jurisdiction within the Jurisdiction.

3.4. Damages and Penalties. In the event of Tenant’s holdover or failure to vacate, Tenant shall be liable to Landlord for holdover damages calculated at the rate of [Dollar Amount] per day, or two hundred percent (200%) of the daily pro-rata rent under the Lease, whichever is greater, for each day Tenant retains possession of the Premises post-Termination Date, alongside all consequential and incidental damages suffered by Landlord.

3.5. Attorney's Fees and Costs. In the event of any litigation, arbitration, or formal legal proceeding arising out of or related to this Notice or the enforcement thereof, the prevailing Party shall be entitled to recover from the non-prevailing Party all reasonable costs incurred, including reasonable attorneys' fees, court costs, and expert witness fees.

SECTION 4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected thereby.

4.2. Entire Agreement. This Agreement, together with the underlying Lease, constitutes the entire agreement between Landlord and Tenant regarding the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements between the Parties.

4.3. Force Majeure. Neither Party shall be held liable for any failure or delay in the performance of its non-monetary obligations under this Agreement if such failure arises out of acts of God, war, terrorism, civil unrest, labor disputes, fire, flood, or other catastrophic events beyond the reasonable control of the affected Party, provided that lack of finances shall not constitute a force majeure event.

4.4. Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of [State/Country], without regard to its conflict of laws principles.

4.5. Dispute Resolution and Venue. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved exclusively through binding arbitration administered by [Arbitration Body, e.g., American Arbitration Association] in accordance with its commercial arbitration rules, or, at Landlord’s sole election, by filing an action in a court of competent jurisdiction located within [County, State]. The Parties irrevocably submit to the exclusive personal jurisdiction of such courts.

4.6. Binding Effect. This Agreement shall be binding upon and shallure to the benefit of the Parties hereto and their respective legal representatives, heirs, successors, and permitted assigns.

4.7. Waiver. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in a writing signed by the waiving Party.

SECTION 5. FORMAL EXECUTION BLOCK

IN WITNESS WHEREOF, the Parties hereto have executed this Notice to Tenant to Vacate Property under seal as of the Effective Date first written above.
