  1. Field Completion: Open this document in Google Docs or Microsoft Word. Use the "Find and Replace" function (Ctrl+H) to systematically populate all bracketed fields (e.g., [Company Full Legal Name]).
  2. Verify Signatory Authority: Ensure the signatory on both sides holds the "Actual" or "Apparent" authority to bind the corporate entity. For larger contracts, verify the signatory against the company's Certificate of Incumbency.
  3. Digital Signature Protocol: Export the finalized document as a PDF. Upload the PDF to a digital signing platform (e.g., DocuSign, Adobe Sign, or PandaDoc). Ensure the platform captures the audit trail, including IP address and timestamp of signatures.

  5. Record Retention: Store the final executed PDF in a secure, encrypted cloud repository (e.g., Google Drive with restricted permissions or a Contract Lifecycle Management [CLM] system). Maintain the file for at least the duration of the statute of limitations for contract claims in your jurisdiction (typically 3–7 years).
