5. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Field Completion: Open the document in your preferred word processor. Use the "Find and Replace" function to populate all bracketed fields (e.g., [Company Full Legal Name]). Ensure numerical amounts are written in both digits and words if necessary for your jurisdiction.
  2. Verify Authority: Before signature, confirm that the individuals signing have "actual" or "apparent" authority to bind their respective corporations. Check corporate bylaws or resolutions if the deal size exceeds your company's standard signing authority threshold.
  3. Digital Execution: Utilize a compliant e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). These platforms generate a "Certificate of Completion" with an audit trail, which is crucial for court-admissible evidence of execution.
  4. Counterparts: If signing in person, print two originals. If signing remotely, ensure all parties receive a final, unalterable PDF copy containing the signatures of both parties.
  5. Record Retention: File the fully executed PDF in a secure, encrypted document management system. Retain records for at least the duration of the statute of limitations in your governing jurisdiction (typically 3–7 years for contract claims).
