STEP-BY-STEP EXECUTION & FILING GUIDE
- Fillable Fields: Use
Ctrl+Fto search for all bracketed fields (e.g.,[Company Full Legal Name]). Replace these with accurate, legal entity data exactly as registered with the Secretary of State. - Review: Ensure the "Territory" and "Commission Rate" are clearly defined. Ambiguity here is the primary cause of post-contract litigation.
- Signatory Verification: For the Company, ensure the signatory holds actual or apparent authority (e.g., CEO, CFO, or authorized Manager). If an LLC, verify the signatory is a Manager or authorized Member.
- Digital Execution: Upload the finalized Word document as a PDF into DocuSign, Adobe Sign, or PandaDoc. Utilize the "Identity Verification" feature if the Representative is a high-value agent.
- Retention: Store the fully executed PDF in a secure, encrypted cloud repository (e.g., SharePoint, Box, or Dropbox Business) under a naming convention:
YYYY-MM-DD_CommissionAgreement_CounterpartyName. Ensure the file is retained for a minimum of 7 years for tax and audit compliance.
