EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Engagement

1.1 Appointment. The Company hereby appoints the Sales Representative, and the Sales Representative hereby accepts appointment, on a non-exclusive / exclusive [Select one] basis, to solicit orders for the products and/or services set forth in Exhibit A (the "Products and Services") within the designated geographic territory or market segment set forth in Exhibit B (the "Territory"). 1.2 Independent Contractor Status. The Sales Representative is engaged solely as an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency between the Company and the Sales Representative. The Sales Representative shall have no authority to bind the Company to any contract, agreement, or obligation, express or implied, without the prior express written authorization of an executive officer of the Company. The Sales Representative shall be solely responsible for all tax obligations, including self-employment taxes, federal, state, and local income taxes, workers' compensation insurance, and any other statutory withholdings arising from compensation paid under this Agreement. 1.3 Best Efforts. The Sales Representative shall use commercially reasonable and diligent efforts to promote, market, and sell the Products and Services within the Territory, adhering strictly to the Company's pricing policies, terms of sale, brand guidelines, and compliance standards as communicated from time to time.

2. Compensation & Payment Terms

2.1 Commission Structure. Subject to the terms and conditions of this Agreement, the Company shall pay to the Sales Representative a commission equal to [Commission Percentage, e.g., 10] percent ([XX]%) of the Net Sales Revenue actually received and collected by the Company from bona fide, creditworthy third-party customers procured directly by the Sales Representative (the "Commission"). 2.2 Definition of Net Sales Revenue. "Net Sales Revenue" shall mean the gross invoiced sales amount actually collected by the Company from the customer for the Products and Services, strictly excluding all applicable sales, use, or excise taxes, shipping, handling, freight, insurance charges, customs duties, and third-party processing fees, as well as any credits, discounts, rebates, chargebacks, or refunds issued to the customer. 2.3 Vesting & Payment Milestone. Commissions shall be deemed earned only upon the concurrent satisfaction of the following conditions: (a) the execution of a binding, legally enforceable purchase agreement or contract between the Company and the customer; (b) the delivery and acceptance of the Products and/or Services; and (c) the actual, unconditional receipt of cleared funds by the Company for the applicable invoice. Commissions shall be calculated and paid on a monthly basis, no later than the [Day of Month, e.g., thirty (30)] day following the end of the calendar month in which the corresponding funds were collected by the Company. 2.4 Invoicing & Reporting. The Sales Representative shall submit a detailed commission statement and invoice to the Company on or before the [Day of Month, e.g., fifteenth (15)] day of each month for transactions completed in the preceding month. The Company reserves the right to audit and adjust commission calculations to account for returned goods, uncollected receivables, or billing errors. 2.5 Clawback & Chargeback of Commissions. If the Company refunds any monies to a customer for any reason, or if an invoice remains unpaid past [Number, e.g., ninety (90)] days from the due date (thereby being deemed a bad debt), any Commission previously paid or credited to the Sales Representative with respect to such transaction shall be immediately charged back to the Sales Representative. The Company may deduct such charged-back amounts from any future Commissions otherwise payable to the Sales Representative under this Agreement, or demand direct repayment from the Sales Representative within [Number, e.g., thirty (30)] days of written notice. 2.6 Expenses. Unless otherwise agreed in advance and in writing by an authorized officer of the Company, the Sales Representative shall be solely responsible for all costs, expenses, and operational overhead incurred in the performance of their duties under this Agreement, including travel, lodging, telecommunications, marketing collateral, and office expenses.

Following the Initial Term, this Agreement shall automatically renew for successive renewal terms of [Number, e.g., one (1)] year(s) each (each a "Renewal Term", and collectively with the Initial Term, the "Term"), unless either party provides written notice of non-renewal at least [Number, e.g., sixty (60)] days prior to the expiration of the then-current term. 3.2 Termination for Convenience. Either party may terminate this Agreement at any time, with or without cause, upon providing at least [Number, e.g., thirty (30)] days prior written notice to the other party. 3.3 Termination for Cause. The Company may terminate this Agreement immediately upon written notice to the Sales Representative in the event that the Sales Representative: (a) breaches any material provision of this Agreement and fails to cure such breach within [Number, e.g., ten (10)] days following receipt of written notice detailing the breach; (b) engages in any act of fraud, embezzlement, dishonesty, or willful misconduct detrimental to the business or reputation of the Company; (c) commits any felony or crime involving moral turpitude; or (d) becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors. 3.4 Effect of Termination & Post-Termination Commissions. Upon the effective date of termination of this Agreement:

  • (a) All rights and licenses granted to the Sales Representative under this Agreement shall immediately cease.
  • (b) The Sales Representative shall immediately return to the Company all Company property, including all Confidential Information, marketing collateral, customer lists, software, hardware, and records.
  • (c) Subject to Section 2.5, the Sales Representative shall be entitled to receive earned and unpaid Commissions on Net Sales Revenue collected by the Company prior to the effective date of termination.
  • (d) Except as expressly provided herein, the Sales Representative shall forfeit any claim to Commissions on transactions completed, processed, or collected after the effective date of termination, regardless of whether negotiations were initiated by the Sales Representative prior to such termination.

4. Intellectual Property Ownership & Work Made for Hire

4.1 Company IP. The Sales Representative acknowledges and agrees that all trademarks, service marks, trade names, logos, patents, copyrights, trade secrets, domain names, and other intellectual property rights of the Company (collectively, the "Company IP") are and shall remain the sole and exclusive property of the Company. Nothing in this Agreement grants the Sales Representative any right, title, or interest in or to the Company IP, except for a limited, revocable, non-exclusive license to use the Company IP solely as strictly necessary to perform sales activities authorized under this Agreement. 4.2 Work Product. Any deliverables, marketing strategies, sales materials, presentations, databases, customer insights, or inventions conceived, developed, or created by the Sales Representative in the course of performing services under this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" under the copyright laws of the United States. To the extent that any Work Product does not qualify as a work made for hire, the Sales Representative hereby irrevocably assigns, transfers, and conveys to the Company all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein, without additional compensation.

5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means any proprietary information, technical data, trade secrets, or know-how disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, customer lists, pricing structures, financial data, software code, business plans, marketing strategies, and product roadmaps. 5.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect the confidentiality of the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) not disclose such Confidential Information to any third party, except to its employees, agents, or professional advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those contained herein; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order. 5.4 Injunctive Relief. The parties acknowledge that any breach of this Section 5 may cause irreparable harm for which monetary damages would be inadequate. Accordingly, the Disclosing Party shall be entitled to seek injunctive relief and specific performance in addition to any other remedies available at law or in equity.

6. Representations & Warranties

6.1 By the Company. The Company represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; (b) it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder; and (c) the execution and delivery of this Agreement have been duly authorized by all necessary corporate action. 6.2 By the Sales Representative. 7. Limitation of Liability & Indemnification

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL COMMISSIONS ACTUALLY PAID OR PAYABLE BY THE COMPANY TO THE SALES REPRESENTATIVE UNDER THIS AGREEMENT IN THE [Number, e.g., six (6)] MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.2 Indemnification by Sales Representative. The Sales Representative agrees to defend, indemnify, and hold harmless the Company, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or resulting from: (a) any breach of this Agreement by the Sales Representative, including any breach of representations and warranties; (b) any negligent, fraudulent, or willful acts or omissions of the Sales Representative; (c) any misrepresentation made by the Sales Representative to third-party customers regarding the Company or its Products and Services; or (d) any failure of the Sales Representative to pay applicable federal, state, or local taxes, withholdings, or contributions associated with compensation received under this Agreement.

8. Dispute Resolution & Arbitration

8.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first attempt in good faith to resolve the matter through informal negotiations between designated executives. If the dispute is not resolved within [Number, e.g., thirty (30)] days of receipt of written notice of the dispute, either party may initiate binding arbitration. 8.2 Binding Arbitration. Any unresolved dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, validity, binding effect, interpretation, performance, breach, or termination, shall be settled by binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association (AAA)] in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The arbitrator's award shall be final, binding, and unappealable, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction. 8.3 Costs of Arbitration. The prevailing party in any arbitration or legal proceeding arising out of this Agreement shall be entitled to recover from the non-prevailing party all reasonable costs, expenses, and attorneys' fees incurred in connection therewith.

9. Governing Law & Jurisdiction

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles. 9.2 Jurisdiction. This Agreement, including the attached Exhibits A and B, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral. 10.2 Amendments & Waivers. No amendment, modification, or change to this Agreement shall be valid or effective unless executed in writing by authorized representatives of both parties. No failure or delay by either party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise thereof. 10.3 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.4 Assignment. The Sales Representative may not assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, voluntarily or by operation of law, without the prior written consent of the Company.
