1. PARTIES AND RECITALS

This Retainer Agreement (the "Agreement") is entered into as of the Effective Date by and between:

2. SCOPE OF SERVICES

3. COMPENSATION AND PAYMENT TERMS

8. LIMITATION OF LIABILITY AND INDEMNIFICATION

8.1 Limitation of Liability: Except for gross negligence or willful misconduct, the total aggregate liability of either party for any claims arising out of this Agreement shall not exceed the total fees paid by Client to Service Provider in the twelve (12) months preceding the claim. 8.2 Indemnification: Each party agrees to indemnify and hold harmless the other party from any third-party claims arising out of the indemnifying party’s breach of this Agreement or negligent acts.
