3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Engagement

1.1 Engagement. Client hereby engages Provider on a retainer basis, and Provider accepts such engagement, to provide the professional services described herein and in any mutually executed Statements of Work (SOW) attached hereto (collectively, the "Services").

1.2 Scope of Work. Provider shall provide the specific services set forth in Exhibit A (Scope of Services). Any material expansion, modification, or reduction of the Services shall require a written amendment executed by authorized representatives of both Parties (a "Change Order").

1.3 Standard of Performance. Provider warrants, covenants, and agrees that all Services shall be performed in a professional, workmanlike manner, in accordance with the highest industry standards prevailing in the applicable trade or profession, and in compliance with all applicable local, state, and federal laws, rules, and regulations.

1.4 Independent Contractor Status. Provider is an independent contractor and not an employee, partner, joint venturer, or agent of Client. Neither Party possesses any authority to bind or obligate the other Party in any manner whatsoever. Provider shall be solely responsible for the payment of all federal, state, and local taxes, withholdings, social security contributions, unemployment insurance, and workers' compensation insurance arising out of or related to compensation paid to Provider under this Agreement.

Section 2. Compensation & Payment Terms

2.1 Retainer Fee. In consideration for the availability of Provider and the performance of the Services, Client shall pay Provider a non-refundable monthly retainer fee of $[Amount in USD] USD (the "Retainer Fee"), due and payable in advance on the first (1st) day of each calendar month during the term of this Agreement.

2.2 Billing and Invoicing. Provider shall issue an invoice to Client on or before the twenty-fifth (25th) day of the month preceding the applicable service month. All invoices shall be paid by Client within **[Number] (e.g., Thirty (30))** days of the invoice date (Net [Number]`).

2.3 Overage and Additional Services. Services requested by Client that exceed the scope defined in Exhibit A or exceed the allotted monthly hours of [Number] hours, if applicable, shall be billed at Provider’s standard hourly rate of $[Hourly Rate] USD per hour, subject to prior written approval by Client.

2.4 Late Payments. Any undisputed amounts not paid when due shall accrue interest at the rate of [Rate, e.g., one and one-half percent (1.5%)] per month, or the maximum rate permitted by applicable law, whichever is less, calculated from the date due until the date paid in full. Client shall reimburse Provider for all reasonable costs and expenses incurred in collecting delinquent amounts, including reasonable attorneys' fees and collection agency fees.

2.5 Taxes. All fees and compensation set forth in this Agreement are exclusive of any applicable sales, use, value-added, or excise taxes. Client shall be solely responsible for all such taxes, excluding taxes levied upon Provider’s net income.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for an initial term of [Number, e.g., Twelve (12)] months (the "Initial Term"), unless terminated earlier in accordance with this Section 3. Upon the expiration of the Initial Term, this Agreement shall automatically renew for successive terms of [Number, e.g., Twelve (12)] months (each a "Renewal Term"), unless either Party provides written notice of non-renewal at least [Number, e.g., Sixty (60)] days prior to the expiration of the then-current term.

3.2 Termination for Convenience. Either Party may terminate this Agreement, without cause, by providing [Number, e.g., Sixty (60)] days prior written notice to the other Party. Client shall remain fully responsible for payment of all Retainer Fees and authorized expenses incurred up through the effective date of termination.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) Materially breaches any representation, warranty, or obligation under this Agreement and fails to cure such material breach within [Number, e.g., Thirty (30)] days after receipt of written notice detailing the breach; (b) Files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, has a receiver appointed over its assets, or ceases to conduct business in the ordinary course.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Client Materials. Client retains all right, title, and interest (including all intellectual property rights) in and to all data, documents, software, trademarks, and materials provided by Client to Provider under this Agreement ("Client Materials"). Client grants Provider a limited, non-exclusive, revocable, royalty-free license to use the Client Materials solely as necessary to perform the Services.

4.2 Work Product. Subject to full payment of all applicable fees due under this Agreement, all deliverables, reports, designs, code, inventions, and work product specifically created, authored, or developed by Provider for Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" under the copyright laws of the United States. To the extent that any Work Product does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

7.2 Cap on Liability. EXCEPT FOR BREACHES OF SECTION 5 (CONFIDENTIALITY), INDEMNIFICATION OBLIGATIONS, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL AMOUNT OF RETAINER FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8.2 Binding Arbitration. If the Dispute is not resolved through negotiation within the specified timeframe, the Dispute shall be settled by binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association (AAA)] in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator.
