OFFICIAL NOTICE & DISCLAIMER
This document is a sophisticated legal template intended to serve as a baseline for attorney-client or professional service retainers. Because local, state, and federal laws govern professional liability, fiduciary duties, and fee structures differently, legal counsel should review this template before execution to ensure compliance with applicable jurisdictional rules (e.g., State Bar Rules of Professional Conduct).
1. PARTIES & DEFINITIONS
This Retainer Agreement ("Agreement") is entered into and made effective as of [Date] ("Effective Date"), by and between:
- Client: [Client Company Name], a [State of Incorporation] [Corporation/LLC], with its principal place of business located at [Client Address] ("Client").
- Provider: [Law Firm / Professional Services Entity Name], a [State of Organization] [Professional Corporation / LLP], with its principal place of business located at [Provider Address] ("Provider").
2. SCOPE OF ENGAGEMENT
2.1 Authorized Services. Client retains Provider to provide legal and operational advisory services as specifically outlined in Schedule A (Statement of Work) attached hereto and incorporated by reference ("Services").
2.2 Exclusions. Any services outside the scope of Schedule A shall require a written amendment executed by both parties (an "Additional SOW") and may be subject to separate fee arrangements.
2.3 Independent Contractor. Provider acts strictly as an independent contractor. Nothing herein creates a partnership, joint venture, employment, or agency relationship between Client and Provider.
3. RETAINER FEE, BILLING, AND PAYMENT TERMS
3.1 Advance Retainer. Upon execution of this Agreement, Client shall pay to Provider an initial advance retainer in the amount of $[Amount] ("Retainer Advance").
3.2 Trust Account Deposit. The Retainer Advance shall be deposited into Provider’s client trust account. Provider shall draw against this trust account for invoiced fees and incurred costs as set forth herein. Client maintains ownership of unearned retainer funds until earned pursuant to the terms of this Agreement.
3.3 Replenishment of Retainer. If the trust account balance falls below $[Minimum Balance Threshold], Client shall replenish the trust account to the original Retainer Advance amount within [Number, e.g., 5] business days of receiving written notice from Provider.
3.4 Hourly Rates & Billing Increments. Services not covered by a flat fee arrangement shall be billed at the hourly rates set forth in Schedule B. Time shall be tracked and billed in minimum increments of [e.g., 0.1 hours (6 minutes)].
3.5 Invoicing and Payment Terms. Provider shall issue monthly invoices detailing the Services rendered, time expended, and expenses incurred. Invoices are due and payable within [Number, e.g., 30] days of the invoice date ("Due Date").
3.6 Late Payments. Any undisputed invoice amount not paid by the Due Date shall accrue interest at the rate of [e.g., 1.5%] per month, or the maximum rate permitted by applicable law, whichever is less. Provider reserves the right to suspend Services if invoices remain unpaid past [e.g., 45] days.
4. TERM AND TERMINATION
4.1 Term. This Agreement shall commence on the Effective Date and shall continue until terminated by either party in accordance with this Section 4 ("Term").
4.2 Termination for Convenience. Either party may terminate this Agreement at any time, with or without cause, by providing [Number, e.g., 30] days prior written notice to the other party.
4.3 Termination for Cause. Provider may terminate this Agreement immediately upon written notice if Client breaches any material term, including failure to pay invoices or replenish the Retainer Advance, or if continued representation violates ethical or professional rules.
4.4 Post-Termination Obligations. Upon termination, Provider shall promptly calculate all unearned retainers, outstanding fees, and reimbursable expenses. Any remaining balance in the trust account after settling final invoices shall be refunded to Client within [Number, e.g., 14] business days. Provider shall cooperate in the orderly transition of files to successor counsel upon Client's written request and settlement of all outstanding balances.
5. CLIENT RESPONSIBILITIES
5.1 Full Disclosure. Client shall provide accurate, complete, and timely information, documentation, and access to personnel as reasonably required by Provider to perform the Services.
5.2 Cooperation. Client acknowledges that Provider’s successful performance depends on Client's active participation and timely response to inquiries and review of deliverables.
6. CONFIDENTIALITY & PRIVILEGE
6.1 Protection of Confidential Information. Each party agrees to protect the other's proprietary and confidential information with the same degree of care it uses for its own confidential data, but not less than reasonable care.
6.2 Attorney-Client Privilege. Communications between Provider and Client relating to legal services shall be protected by the attorney-client privilege and the work-product doctrine to the maximum extent permitted by law. Provider shall not disclose Client confidential information unless authorized by Client or required by court order, law, or ethical rules.
7. LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. To the maximum extent permitted by applicable law, Provider’s total aggregate liability arising out of or relating to this Agreement, the Services, or Provider's performance shall be strictly limited to the total fees actually paid by Client to Provider under this Agreement during the [e.g., 12] months preceding the event giving rise to liability.
7.2 Exclusion of Consequential Damages. In no event shall Provider be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits or business interruption, even if advised of the possibility of such damages.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 Governing Law. This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by, and construed in accordance with, the laws of the State of [State], without regard to its conflict of laws principles.
8.2 Mandatory Arbitration. Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall be settled by binding arbitration administered by the [Arbitration Association, e.g., American Arbitration Association] in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
9. MISCELLANEOUS PROVISIONS
9.1 Entire Agreement. This Agreement, including Schedules A and B, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior oral or written negotiations, commitments, and understandings.
9.2 Amendments. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless executed in writing by authorized representatives of both parties.
9.3 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
9.4 Counterparts & Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures and digital execution platforms (e.g., DocuSign) shall have the same legal validity as wet-ink signatures.
