2.2. Term. The initial term of this Agreement shall commence on the Effective Date and shall continue for a period of [Number, e.g., twelve (12)] months, expiring on [End Date] (the "Initial Term"). The Agent shall remit to the Owner Net Proceeds, accompanied by a detailed monthly statement of income and expenses, on or before the [Day, e.g., fifteenth (15th)] day of each calendar month following the reporting period.

  • (c) Legal and Financial Compliance: The Owner shall maintain comprehensive general liability insurance naming the Agent as an additional insured, in an amount not less than $[Dollar Amount, e.g., 1,000,000.00] per occurrence.

3.3. Management Compensation and Fees.

  • (a) Management Fee: The Owner shall pay to the Agent a monthly management fee equal to [Percentage, e.g., eight percent (8%)] of the Gross Receipts collected during that calendar month, or a flat fee of $[Dollar Amount], whichever is greater.

3.4. Indemnification.

  • (a) By Owner: The Owner agrees to indemnify, defend, and hold harmless the Agent, its officers, directors, employees, agents, and Affiliates from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of or related to the management, leasing, or condition of the Property, bodily injury, property damage, or the Owner’s breach of any representation or warranty under this Agreement, except to the extent caused by the gross negligence or willful misconduct of the Agent.
  • (b) By Agent: The Agent agrees to indemnify, defend, and hold harmless the Owner from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorney's fees) arising out of the gross negligence, willful misconduct, or ultra vires acts of the Agent outside the scope of its authority under this Agreement.

The defaulting Party shall have thirty (30) business days from the receipt of such notice to cure said Default (the "Cure Period"); provided, however, that if the Default is non-monetary and cannot reasonably be cured within thirty (30) business days through the exercise of due diligence, the defaulting Party shall not be in Default if they commence the cure within the thirty (30) business day period and diligently prosecute the same to completion.

4.3. Termination for Cause. If a Default is not cured within the applicable Cure Period set forth in Section 4.2, the non-defaulting Party may terminate this Agreement immediately upon written notice to the defaulting Party, without prejudice to any other legal or equitable rights or remedies available under Applicable Law.

4.4. Termination Without Cause. Either Party may terminate this Agreement without cause at any time by providing at least sixty (60) days prior written notice to the other Party. Termination without cause shall not relieve the Owner of the obligation to pay any management fees, commissions, or operational expenses accrued up to the effective date of termination.

4.5. Post-Termination Obligations. Upon the expiration or termination of this Agreement:

  • (a) The Agent shall deliver to the Owner all funds held in trust for the Owner (after deducting outstanding fees, costs, and authorized reserves) within thirty (30) days of termination.
  • (b) The Agent shall transfer all tenant security deposits, accounting records, keys, and executed leases to the Owner or the Owner's designated successor agent.

5.2. Entire Agreement. The time for performance shall be extended for a period equal to the duration of the Force Majeure Event.

5.4. Governing Law and Venue. This Agreement shall be construed, interpreted, and governed by the laws of the State of [Jurisdiction], without regard to its conflict of laws principles.
