1.4 Subcontracting. Provider may engage qualified third-party subcontractors or independent consultants to perform discrete elements of the Services only with the prior written consent of Client (such consent not to be unreasonably withheld). Provider shall remain fully liable and responsible for the acts, omissions, performance, and confidentiality compliance of any such approved subcontractors.
SECTION 2: COMPENSATION & PAYMENT TERMS

Provider reserves the right to suspend the performance of Services upon ten (10) business days' written notice if any undisputed invoice remains unpaid past its due date.
2.5 Taxes. All fees and compensation stated herein are exclusive of all applicable federal, state, municipal, value-added, sales, use, and excise taxes. Client shall be solely responsible for the payment of all such taxes, levies, or duties arising out of this transaction, excluding taxes based solely upon Provider’s net income.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services or the expiration of all active SOWs, unless earlier terminated in accordance with the provisions of this Section 3.
