3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. SCOPE OF SERVICES & ENGAGEMENT
1.1 Scope of Work. The Research Services shall be conducted under the direct supervision of the Principal Investigator designated by the Institution, namely [Principal Investigator Name] (the "Principal Investigator").
1.2 Efforts and Results. The Institution is an independent research institution. The Parties acknowledge that research is experimental in nature. Accordingly, the Institution does not guarantee any specific commercial outcome, successful research result, or specific therapeutic, technical, or financial utility. The Institution warrants only that it shall perform the Research Services in a professional, workmanlike manner, utilizing reasonable scientific care and adhering to generally accepted academic and research standards.
1.3 Key Personnel. The Principal Investigator shall direct the performance of the Research Services. If the Principal Investigator becomes unable or unwilling to continue the direction of the Research Services, the Institution shall promptly notify the Sponsor and propose a mutually acceptable substitute. If a mutually acceptable substitute cannot be agreed upon within thirty (30) days of such notification, either Party may terminate this Agreement pursuant to Section 3.
2. COMPENSATION & PAYMENT TERMS

The Institution reserves the right to suspend performance of the Research Services immediately upon written notice if any invoice remains unpaid for more than fifteen (15) days past the Due Date.
2.5 Taxes. The Contract Price is exclusive of all applicable goods and services taxes, value-added taxes, customs duties, or similar governmental assessments (collectively, "Taxes"). The Sponsor shall be solely responsible for the payment of all such Taxes, excluding taxes levied upon the net income of the Institution.
3. TERM & TERMINATION

(c) Ceases or threatens to cease operations in the ordinary course of business.
3.4 Consequences of Termination. Upon termination of this Agreement for any reason:

The place of arbitration shall be Brisbane, Queensland, Australia. The proceedings shall be conducted in the English language by a single arbitrator appointed in accordance with said rules.
