1.2 Modifications to Scope. The Institution and the primary faculty advisor retain absolute discretion to refuse modifications that compromise academic integrity, institutional accreditation standards, or safety compliance.

1.3 Academic Freedom. Nothing in this Agreement shall be construed to restrict or limit the academic freedom of the Researcher, faculty advisors, or the Institution to publish, teach, or otherwise communicate research findings, subject strictly to the limited confidentiality and patent review provisions outlined in Section 5 of this Agreement.

Section 2: Compensation, Funding & Payment Terms

2.1 Financial Consideration. In consideration for the research facilities, administrative oversight, and execution of the proposal, the Sponsor/Researcher shall pay to the Institution the total sum of [Amount in USD], disbursed in accordance with the milestone schedule set forth in Exhibit B (the "Research Funding").

2.2 Invoicing & Payment Terms. The Institution shall issue formal invoices to the Sponsor prior to each milestone due date. 2.3 Late Payment Interest. Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date paid in full. The Institution reserves the right to suspend research activities and withhold academic certifications or defense approvals in the event of uncured financial defaults exceeding forty-five (45) days.

Section 3: Term & Termination

3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the doctoral defense and final acceptance of the dissertation, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").

3.2 Termination for Convenience. The Institution may terminate this Agreement for convenience upon providing sixty (60) days prior written notice to the Researcher/Sponsor. "Confidential Information" means any proprietary or non-public data, technical specifications, research methodologies, trade secrets, financial details, or software disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with this Agreement, whether marked as confidential or disclosed orally and confirmed in writing within thirty (30) days.

5.2 Obligations of Non-Disclosure. The Receiving Party shall hold the Disclosing Party’s Confidential Information in strict confidence, utilizing the same degree of care it uses to protect its own proprietary information (but no less than a reasonable standard of care). The Receiving Party shall not disclose such Confidential Information to any third party without prior written consent, except to employees, students, and academic committee members who have a direct need to know and are bound by equivalent confidentiality obligations.

5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, court order, or governmental agency subpoena, provided the Receiving Party gives prompt written notice to the Disclosing Party.

6.1 Mutual Authority. Each Party represents and warrants that it possesses full legal power, capacity, and authority to enter into this Agreement and to perform all obligations required hereunder.

6.2 Academic Integrity. The Researcher represents and warrants that the Research Proposal and subsequent execution represent original work, do not infringe upon the copyright, patent, trademark, or trade secret rights of any third party, and contain no fraudulent data, plagiarism, or fabricated metrics.

6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE RESEARCH SERVICES AND ASSOCIATED ACADEMIC SUPPORT ARE PROVIDED "AS IS." THE INSTITUTION MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

Section 7: Limitation of Liability & Indemnification

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR INTERRUPTION OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Aggregate Liability Cap. The total aggregate liability of the Institution arising out of or relating to this Agreement shall be strictly limited to the total amount of Research Funding actually received by the Institution under this Agreement during the twelve (12) months preceding the event giving rise to liability.

7.3 Indemnification. The Researcher/Sponsor agrees to defend, indemnify, and hold harmless the Institution, its Board of Trustees, officers, faculty members, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, demands, judgments, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the gross negligence or willful misconduct of the Researcher; (b) material breach of this Agreement by the Researcher; or (c) violation of applicable laws or third-party intellectual property rights in the execution of the research.

8.2 Binding Arbitration. If the dispute remains unresolved thirty (30) days after formal written notification of the dispute, the matter shall be submitted to binding arbitration administered by the [Arbitration Association, e.g., American Arbitration Association / JAMS] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language before a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.

Section 9: Governing Law & Jurisdiction

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State Jurisdiction], without regard to its conflict of laws principles.

9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County, State], for any legal action, suit, or proceeding arising out of or relating to this Agreement.

Section 10: Miscellaneous

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

10.2 Counterparts; Electronic Signatures.
