1. PARTIES & RECITALS

This Research Services Agreement (the "Agreement") is entered into as of the [Effective Date] by and between:

2. SCOPE OF SERVICES

Provider shall perform the research services described in "Exhibit A: Statement of Work" (the "Services"). Provider shall perform the Services in a professional, workmanlike manner, in accordance with the standard of care prevailing in the industry for similar research projects.

3. COMPENSATION & PAYMENT TERMS

3.1 Fees. Client shall pay Provider the total sum of [Amount in USD] (the "Fee") for the performance of the Services. 3.2 Invoicing. Provider shall submit invoices [Monthly/Milestone-based] to Client. Payments are due within thirty (30) days of receipt of a valid invoice. 3.3 Late Payments. Any undisputed payments not received by the due date shall accrue interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower. 3.4 Expenses. Reasonable out-of-pocket expenses incurred in the performance of Services shall be reimbursed by Client, subject to prior written approval.

4. TERM & TERMINATION

4.1 Term. This Agreement shall commence on the Effective Date and remain in force until completion of the Services, unless terminated earlier. 4.2 Termination for Convenience. Either party may terminate this Agreement upon thirty (30) days' written notice. Client shall compensate Provider for all work performed up to the date of termination. 4.3 Termination for Breach. Either party may terminate for material breach if the breaching party fails to cure such breach within fifteen (15) days of receiving written notice specifying the breach.

5. INTELLECTUAL PROPERTY & WORK MADE FOR HIRE

All research findings, data, reports, and deliverables (the "Work Product") generated pursuant to this Agreement shall be considered "work made for hire" for the Client to the extent permitted by law. To the extent any Work Product does not qualify as work made for hire, Provider hereby assigns all right, title, and interest in and to the Work Product to the Client upon full payment of the Fees.

6. MUTUAL CONFIDENTIALITY

Each party (the "Receiving Party") agrees to protect the Confidential Information of the other (the "Disclosing Party") with the same degree of care it uses for its own sensitive information. Confidential Information shall not be disclosed to third parties without prior written consent and shall be used solely for the purposes of this Agreement.

7. REPRESENTATIONS & WARRANTIES

Each party represents that (i) it has the full power and authority to enter into this Agreement; (ii) the performance of this Agreement will not violate any other contract; and (iii) it shall comply with all applicable laws and regulations in the performance of its duties.

8. LIMITATION OF LIABILITY & INDEMNIFICATION

8.1 Limitation. To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, or consequential damages. The total liability of Provider shall not exceed the total Fees paid under this Agreement. 8.2 Indemnification. Each party agrees to indemnify and hold harmless the other from any third-party claims arising from the indemnifying party's gross negligence or willful misconduct.

9. DISPUTE RESOLUTION & GOVERNING LAW

9.1 Governing Law. This Agreement shall be governed by the laws of [Governing Jurisdiction]. 9.2 Arbitration.
