NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, the adequacy and sufficiency of which are hereby acknowledged, the parties agree as follows:

EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Engagement

1.1 Engagement. Researcher acts strictly as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee, or principal-agent relationship between Sponsor and Researcher. Researcher shall have no authority to bind Sponsor in any manner whatsoever.

2. Compensation & Payment Terms

2.1 Total Compensation. In consideration for the performance of the research services and the assignment of intellectual property rights herein, Sponsor shall pay Researcher the total sum of [Amount in USD] USD (the "Research Grant / Compensation"), payable in accordance with the milestone schedule set forth in Exhibit B. 2.2 Invoicing & Payment Schedule. Researcher shall submit itemized invoices to Sponsor upon the completion of designated project milestones. Sponsor shall remit payment in full via wire transfer or check within thirty (30) days of receipt of each validly submitted invoice. 2.3 Late Interest. Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. 2.4 Expenses. Unless otherwise explicitly agreed in writing by Sponsor, all operational, travel, equipment, and incidental expenses incurred by Researcher in the performance of this Agreement shall be borne solely by Researcher.

3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue until [Completion Date or "the completion of the Scope of Work"], unless terminated earlier in accordance with this Section 3. 3.2 Termination for Convenience. Sponsor may terminate this Agreement, in whole or in part, at any time for any reason upon providing fourteen (14) days prior written notice to Researcher. Upon such termination, Sponsor shall compensate Researcher for all services satisfactorily rendered and non-cancelable obligations incurred up to the effective date of termination. 3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such material breach within fourteen (14) days after receipt of written notice detailing the breach. 3.4 Effect of Termination. 4. Intellectual Property Ownership & Work Made for Hire

4.1 Work Made for Hire. To the maximum extent permitted by applicable law, all research data, notes, discoveries, inventions, software, reports, and deliverables (collectively, the "Work Product") created, conceived, or developed by Researcher, solely or jointly with others, in the course of performing services under this Agreement, shall be deemed a "work made for hire" exclusively for Sponsor. 4.2 Assignment of Rights. To the extent that any Work Product does not qualify as a work made for hire under applicable law, Researcher hereby irrevocably assigns, transfers, and conveys to Sponsor all right, title, and interest worldwide in and to such Work Product, including all copyrights, patents, trade secrets, and other intellectual property rights therein. 4.3 Further Assurances. Researcher agrees to execute, acknowledge, and deliver any and all documents and instruments, and to take all such further actions, as Sponsor may reasonably request to vest, perfect, or defend Sponsor's complete ownership of the intellectual property rights assigned under this Section 4. 4.4 Academic Publication Rights. Notwithstanding the foregoing, Researcher reserves the right to publish academic papers and present findings arising from the research, provided that: (a) Researcher submits any proposed publication or presentation to Sponsor at least thirty (30) days prior to public disclosure for review; and (b) Sponsor may require the redaction or removal of any Sponsor Confidential Information or patentable subject matter prior to publication.

The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use reasonable care to protect it, and shall not disclose it to any third party except to its employees, agents, or academic advisors who have a need to know and are bound by equivalent confidentiality obligations. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided prompt written notice is given to the Disclosing Party.

6.1 Researcher Warranties. Researcher represents and warrants that: (a) Researcher has the full legal capacity and authority to enter into this Agreement; (b) the performance of services under this Agreement will not violate any agreement or institutional policy to which Researcher is bound; and (c) all Work Product will be original and will not infringe upon the intellectual property rights of any third party. 6.2 Sponsor Warranties. Sponsor represents and warrants that: (a) Sponsor has the full corporate authority to enter into this Agreement and perform its obligations hereunder; and (b) the funds allocated for the Research Grant are lawful and unencumbered.

7. Limitation of Liability & Indemnification

7.1 Limitation of Liability. EXCEPT FOR BREACHES OF SECTION 5 (CONFIDENTIALITY) OR SECTION 4 (INTELLECTUAL PROPERTY), IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. SPONSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMPENSATION ACTUALLY PAID TO RESEARCHER HEREUNDER. 7.2 Indemnification. Each party shall defend, indemnify, and hold harmless the other party, its officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's material breach of this Agreement, gross negligence, or willful misconduct.
