WHEREAS, the parties desire to enter into a formal contractual arrangement pursuant to which the Institution shall provide comprehensive academic research, advisory, and drafting support services subject to the strict terms, conditions, and ethical boundaries set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement of Services. The Institution hereby agrees to provide the Researcher with specialized doctoral research support, advisory, and compilation services specifically tailored to the discipline of law (the "Services"). The precise deliverables, milestones, research parameters, and methodological frameworks are explicitly detailed in Schedule A (Statement of Work), which is attached hereto and incorporated into this Agreement by this reference.
1.2 Academic Integrity & Compliance. The parties expressly acknowledge and agree that all Services rendered under this Agreement shall strictly comply with the academic integrity policies, honor codes, plagiarism regulations, and dissertation guidelines established by the Researcher’s degree-granting university. The Institution’s role is strictly limited to consultative guidance, critical analysis, source verification, structural editing, and methodological critique. The Institution shall not draft original content that substitutes for the Researcher's independent academic contribution, intellectual authorship, or oral defense preparation.
1.3 Standard of Performance. The Institution warrants that all personnel assigned to perform the Services possess advanced academic credentials (including Ph.D., J.D., or LL.M. degrees) and shall execute their duties with the highest degree of professional competence, scholarly rigor, and adherence to legal research methodologies (including bluebooking, empirical data collection, and comparative law analysis).
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Total Contract Price. In consideration for the full and faithful performance of the Services by the Institution, the Researcher agrees to pay the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Schedule B attached hereto.
2.2 Invoicing & Payment Schedule. The Institution shall issue formal invoices to the Researcher upon the successful completion and delivery of each designated project milestone. All invoices shall be due and payable in full within thirty (30) calendar days from the date of issuance (the "Due Date"). Payments shall be remitted via wire transfer, automated clearing house (ACH), or designated institutional payment gateway as specified on the invoice.
2.3 Late Payment & Interest. Any invoice balance not paid on or before the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until the date of actual receipt of full payment by the Institution. Furthermore, the Institution reserves the right to suspend the performance of any ongoing Services until all delinquent balances and accrued interest are paid in full.
2.4 Taxes. The Contract Price is exclusive of all applicable federal, state, local, and international sales, use, value-added (VAT), or excise taxes. The Researcher shall be solely responsible for the payment of all such taxes associated with this engagement, excluding taxes based solely upon the Institution’s net income.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and final delivery of all contractual deliverables, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. The Researcher may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing thirty (30) calendar days prior written notice to the Institution. Upon receipt of such notice, the Institution shall immediately cease all performance, except as otherwise directed to wind down operations safely. The Researcher shall promptly pay the Institution for all Services rendered, milestone deliverables completed, and non-cancellable commitments incurred up to the effective date of termination, on a pro rata basis.
3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any of its obligations hereunder and fails to cure such material breach within fifteen (15) calendar days following receipt of written notice detailing the specific breach. Material breaches include, but are not limited to: (a) failure by the Researcher to make timely payments when due; (b) breach of confidentiality obligations; or (c) actions that compromise the academic integrity or legal compliance of the research project.
3.4 Effect of Termination. Upon the expiration or termination of this Agreement for any reason, all rights and obligations of the parties shall immediately cease, except that: (a) the Researcher’s obligation to pay for Services rendered prior to termination shall survive; (b) Sections 5, 6, 7, 8, and 9 shall survive indefinitely or for the specific time periods designated therein.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Background Intellectual Property. Each party shall retain exclusive ownership of all right, title, and interest in and to its respective pre-existing intellectual property, proprietary research frameworks, databases, methodologies, algorithms, and trade secrets developed prior to or independently of this Agreement ("Background IP"). Nothing in this Agreement shall be construed to transfer any right, title, or interest in Background IP to the opposing party.
4.2 Foreground Intellectual Property & Dissertation Ownership. The parties explicitly acknowledge that the final doctoral dissertation, thesis, and all derivative academic publications authored by the Researcher remain the sole and exclusive intellectual property of the Researcher, subject to the academic regulations of their degree-granting institution.
4.3 Institution Work Product. All analytical frameworks, research memoranda, bibliographic compilations, structural outlines, and editorial annotations specifically created by the Institution for the Researcher under this Agreement (collectively, the "Work Product") shall, upon full and final payment of the Contract Price, be licensed exclusively to the Researcher for the sole purpose of completing and defending their doctoral dissertation. The Institution reserves a perpetual, non-exclusive, royalty-free, worldwide license to use generalized research methodologies, anonymized empirical data structures, and academic learnings derived from the execution of the Services for internal research, educational, and institutional publication purposes.

Confidential Information shall be marked as "Confidential" or, if disclosed orally, confirmed as confidential in writing within thirty (30) days of disclosure.
5.2 Obligations of Confidentiality. The Receiving Party agrees to: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) restrict disclosure of such Confidential Information solely to its employees, contractors, and academic advisors who have a strict need to know and who are bound by written confidentiality obligations at least as restrictive as those contained herein; and (c) not use such Confidential Information for any purpose outside the scope of this Agreement.
5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without an obligation of confidentiality; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by applicable law, court order, or governmental regulation, provided that the Receiving Party gives prompt written notice to the Disclosing Party to enable them to seek a protective order.
5.4 Survival. The confidentiality obligations set forth in this Section 5 shall survive the expiration or termination of this Agreement for a period of five (5) years thereafter, or indefinitely with respect to trade secrets and personal data.

The Researcher represents and warrants that: (a) they possess the full legal capacity and authority to enter into this Agreement; (b) all data, source materials, draft texts, and background documents provided to the Institution are owned by the Researcher or lawfully licensed for use; (c) the submission and defense of the dissertation shall comply with all academic rules of their university; and (d) the Researcher shall not utilize the Institution's advisory services to engage in academic dishonesty, plagiarism, or fraudulent research practices.
6.3 Disclaimer of Implied Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE INSTITUTION MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACADEMIC SUCCESS (INCLUDING THE SUCCESSFUL DEFENSE OR APPROVAL OF THE RESEARCHER'S DISSERTATION). THE INSTITUTION DOES NOT GUARANTEE THAT THE RESEARCHER'S DISSERTATION WILL BE ACCEPTED, APPROVED, OR DEFENDED SUCCESSFULLY.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, ACADEMIC REPUTATION DAMAGE, OR DISSERTATION REJECTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. THE INSTITUTION’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL OR EQUITABLE THEORY (INCLUDING BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), SHALL IN NO EVENT EXCEED THE TOTAL CONTRACT PRICE ACTUALLY PAID BY THE RESEARCHER TO THE INSTITUTION UNDER THIS AGREEMENT.
7.3 Indemnification by Researcher. The Researcher agrees to defend, indemnify, and hold harmless the Institution, its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or resulting from: (a) any material breach of this Agreement by the Researcher; (b) any violation of academic integrity policies, university bylaws, or copyright laws by the Researcher; or (c) any claim that the Researcher’s final dissertation infringes upon the intellectual property or privacy rights of any third party.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Negotiation in Good Faith. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, termination, or validity (a "Dispute"), the designated senior representatives of both parties shall first attempt to resolve such Dispute through good-faith negotiations over a period of thirty (30) calendar days.
8.2 Binding Arbitration. If the Dispute cannot be resolved through good-faith negotiations pursuant to Section 8.1 within the prescribed thirty (30) day window, the Dispute shall be settled exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State/Country]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The arbitral award shall be final, binding upon the parties, and enforceable in any court of competent jurisdiction.
8.3 Injunctive Relief. Notwithstanding the foregoing arbitration provisions, either party may seek emergency injunctive relief or provisional equitable remedies from any court of competent jurisdiction to protect its intellectual property rights or confidential information pending the constitution of the arbitral tribunal.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Jurisdiction, e.g., New York], without regard to its conflict of laws principles.
9.2 Jurisdiction. Subject to Section 8 (Dispute Resolution & Arbitration), each party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State] for the purpose of enforcing any arbitral award or resolving any equitable action permitted here-under.
SECTION 10: MISCELLANEOUS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
10.2 Entire Agreement. This Agreement, together with Schedules A and B, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations, representations, warranties, and agreements, whether written or oral.
10.3 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless executed in writing and signed by an authorized representative of each party. No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.
10.4 Force Majeure. Neither party shall be held liable or responsible to the other party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond the impacted party's reasonable control, including, without limitation: acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, national or regional emergencies, pandemics, epidemics, embargoes, strikes, or disruption of electrical or telecommunication networks (a "Force Majeure Event").
