3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. SCOPE OF SERVICES & RESEARCH PROPOSAL
1.1 Engagement: Client hereby engages Provider, and Provider accepts such engagement, to perform the research, development, data processing, and evaluation services utilizing Large Language Models (LLMs) as detailed in Exhibit A ("Research Proposal and Statement of Work") incorporated herein by reference. 1.2 Research Objectives: Provider shall use commercially reasonable efforts to achieve the research milestones, benchmarks, and deliverables set forth in Exhibit A. The parties acknowledge that research involving cutting-edge artificial intelligence and LLM technologies inherently involves scientific and technical uncertainty; therefore, Provider does not guarantee specific commercial or academic breakthroughs, but warrants that all services will be performed in a professional and workmanlike manner. 1.3 Change Orders: Any material modification, expansion, or reduction of the scope of services described in Exhibit A shall be set forth in a written Change Order signed by authorized representatives of both parties. Each Change Order shall explicitly state the adjustments to fees, timelines, and deliverables resulting from such modifications.
2. COMPENSATION & PAYMENT TERMS
2.1 Compensation: In consideration for the performance of the services and the assignment of rights under this Agreement, Client shall pay Provider the total sum of [Amount in USD] USD, payable in accordance with the milestone schedule or periodic billing structure set forth in Exhibit B ("Fee Schedule").
2.2 Invoicing: Provider shall submit invoices to Client in accordance with Exhibit B. Client shall remit payment in full within thirty (30) days of receipt of each valid, undisputed invoice via wire transfer or electronic clearing house (ACH) to the bank account designated in writing by Provider.
2.3 Late Payment Interest: Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date paid in full. Client shall reimburse Provider for all reasonable costs and expenses (including attorneys' fees) incurred in collecting overdue payments.
2.4 Taxes: All fees stated herein are exclusive of all sales, use, value-added, withholding, and other taxes imposed by any governmental authority. Client shall be solely responsible for the payment of all such taxes, excluding taxes based solely on Provider's net income.
3. TERM & TERMINATION
3.1 Term: This Agreement shall commence on the Effective Date and shall continue until the completion of the research services and delivery of all final deliverables, unless terminated earlier in accordance with this Section 3. 3.2 Termination for Convenience: Client or Provider may terminate this Agreement, in whole or in part, for any reason or no reason, upon providing sixty (60) days prior written notice to the other party. Upon receipt of such notice, Provider shall immediately cease all non-essential work and take all reasonable steps to minimize costs. 3.3 Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within thirty (30) days after receipt of written notice detailing the breach; (b) becomes insolvent, makes an assignment for the benefit of creditors, or files or has filed against it a petition in bankruptcy or receivership; or (c) ceases to conduct business in the ordinary course. 3.4 Effect of Termination: Upon termination of this Agreement for any reason: (a) Client shall promptly pay Provider for all services rendered, deliverables completed, and non-cancellable commitments incurred up to the effective date of termination; (b) each party shall promptly return or destroy (and certify such destruction in writing) all Confidential Information of the other party; and (c) Sections 4, 5, 6, 7, and 8 shall survive such termination.

4.1 Pre-Existing Intellectual Property: Each party shall retain exclusive right, title, and interest in and to all intellectual property, proprietary algorithms, software frameworks, models, data, and know-how that it owned or developed prior to the Effective Date or independently of this Agreement ("Pre-Existing IP"). Nothing in this Agreement shall be construed to grant either party any rights to the other party’s Pre-Existing IP, except as expressly provided herein. 4.2 Project Intellectual Property: All inventions, discoveries, research data, reports, custom source code, prompts, fine-tuned model weights, and deliverables specifically conceived, created, or developed by Provider for Client pursuant to this Agreement (collectively, "Project IP") shall be the exclusive property of Client upon Client’s full and final payment of all undisputed fees due under this Agreement. Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Project IP. 4.3 Provider Tools and Background Technology: Notwithstanding Section 4.2, Provider retains all right, title, and interest in and to its foundational methodologies, base LLM architectures, generic benchmarking tools, infrastructure scripts, and general-purpose libraries utilized or enhanced during the performance of services (collectively, "Provider Tools"). To the extent that any Provider Tools are embedded in or required for the utilization of the deliverables, Provider grants Client a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use such Provider Tools solely in connection with Client's exploitation of the deliverables.

PROVIDER EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LLM TECHNOLOGIES ARE PROBABILISTIC IN NATURE; PROVIDER DOES NOT WARRANT THAT MODEL OUTPUTS WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HALLUCINATIONS.

7.1 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability: EACH PARTY’S AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. THE FOREGOING LIMITATION SHALL NOT APPLY TO BREACHES OF CONFIDENTIALITY (SECTION 5), INTELLECTUAL PROPERTY INFRINGEMENT, OR INDEMNIFICATION OBLIGATIONS UNDER THIS SECTION 7. 7.3 Client Indemnification: Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, agents, and successors from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client’s use or commercialization of the research deliverables in violation of applicable laws; (b) data provided by Client to Provider infringing or violating third-party rights; or (c) Client’s material breach of this Agreement. 7.4 Provider Indemnification: Provider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, agents, and successors from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Provider’s gross negligence or willful misconduct in the performance of services; or (b) claims that the deliverables developed by Provider infringe any valid third-party intellectual property right, provided that such claim does not arise from Client-provided data or unauthorized modification by Client.

8.2 Good Faith Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the designated senior executives of both parties shall first attempt to resolve such dispute through good faith negotiations for a period of thirty (30) days following written notice of the dispute by one party to the other.
8.3 Binding Arbitration: If the dispute cannot be resolved through good faith negotiation pursuant to Section 8.2, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.

Delivery of an executed counterpart of a signature page by electronic mail (PDF or facsimile) or electronic signature platform (e.g., DocuSign) shall be effective as manual delivery of a physically executed counterpart. 9.3 Entire Agreement: This Agreement, including all exhibits, schedules, and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral. 9.4 Force Majeure: Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, pandemic, war, terrorism, civil unrest, labor strikes, failure of public utilities, internet service provider failures, or any other cause beyond the reasonable control of the affected party ("Force Majeure Event"). 9.5 Assignment: Neither party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, whether voluntarily, by operation of law, or otherwise, without the prior written consent of the other party; provided, however, that either party may assign this Agreement without consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
