NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1. Scope of Services & Research Proposal
1.1 Scope of Engagement. The Researcher shall perform the historical research services (the "Services") described with specificity in Exhibit A (attached hereto and incorporated herein by this reference), which outlines the formal research proposal, primary and secondary source targets, methodological frameworks, analytical parameters, and deliverable schedules.
1.2 Professional Standards. The Researcher shall execute all Services in accordance with the highest professional standards of the historical discipline, adhering strictly to archival ethics, historical accuracy, citation standards (e.g., Chicago Manual of Style), and peer-reviewable methodologies.
1.3 Modification of Scope. Any material modification, expansion, or reduction of the research scope, historical timeline, or deliverable format set forth in Exhibit A shall require a written Change Order executed by the authorized representatives of both parties.
Section 2. Compensation & Payment Terms
2.1 Total Fee. In consideration for the full and faithful performance of the Services, the Client shall pay the Researcher the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Exhibit B.
2.2 Invoicing. The Researcher shall submit formal invoices to the Client upon the completion and acceptance of each designated project milestone. Invoices shall be sent electronically to [Client Billing Email Address].
2.3 Payment Terms. All undisputed invoices shall be due and payable by the Client within thirty (30) calendar days of the invoice date (Net 30). Payments shall be remitted via wire transfer, electronic ACH, or corporate check to the account designated in writing by the Researcher.
2.4 Late Payment Interest. Any undisputed amounts not paid when due shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the date due until the date paid in full.
2.5 Expenses. Unless otherwise expressly authorized in writing by the Client, the Contract Price includes all routine out-of-pocket expenses incurred by the Researcher, including local travel, photocopying, and digital archival reproduction fees. Extraordinary expenses (e.g., international travel, specialized transcription services) must be pre-approved in writing by the Client and shall be reimbursed at cost.
Section 3. Term & Termination
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of all Services and delivery of final work product, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. The Client may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing thirty (30) calendar days prior written notice to the Researcher. Upon receipt of such notice, the Researcher shall immediately cease all work, unless the notice dictates otherwise. The Client shall compensate the Researcher for all Services satisfactorily performed up to the effective date of termination, plus any non-cancellable commitments reasonably incurred prior to notice.
3.3 Termination for Cause (Breach). Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any of its obligations hereunder and fails to cure such material breach within fifteen (15) calendar days following receipt of written notice detailing the specific nature of the breach.
3.4 Effect of Termination. Upon termination of this Agreement for any reason, the Researcher shall promptly deliver to the Client all completed or partially completed historical research data, notes, drafts, and deliverables compiled up to the date of termination, and the Client shall remit payment for all undisputed, earned fees.
Section 4. Intellectual Property Ownership & Work Made for Hire
4.1 Work Made for Hire. The parties agree that all written reports, analytical syntheses, transcriptions, data sets, bibliographies, and historical manuscripts specifically created by the Researcher pursuant to this Agreement (collectively, the "Deliverables") shall be deemed "works made for hire" to the fullest extent permitted by United States copyright law (17 U.S.C. § 101 et seq.) for the benefit of the Client.
4.2 Assignment of Rights. To the extent that any Deliverable does not qualify as a work made for hire under applicable law, the Researcher hereby irrevocably assigns, transfers, and conveys to the Client, worldwide and in perpetuity, all right, title, and interest in and to such Deliverables, including all intellectual property and moral rights therein.
4.3 Pre-Existing Intellectual Property. Nothing in this Agreement shall be construed to transfer ownership of the Researcher’s pre-existing methodologies, proprietary research frameworks, published books, articles, or general historical knowledge not specifically developed as a Deliverable under this Agreement (collectively, "Background IP"). The Researcher grants the Client a non-exclusive, royalty-free, perpetual license to utilize any Background IP solely to the extent necessary to exploit the Deliverables.
4.4 Academic Publication Rights. Notwithstanding Sections 4.1 and 4.2, the Researcher retains the academic right to publish scholarly articles, books, or academic lectures based upon the historical research conducted hereunder, provided that: (a) such publication does not breach the confidentiality obligations set forth in Section 5; and (b) the Researcher provides the Client with a thirty (30) day advance review period prior to any academic publication to redact proprietary Client data or confidential commercial insights.
Section 5. Mutual Confidentiality & Non-Disclosure
5.1 Confidential Information. "Confidential Information" means all non-public, proprietary, or commercially sensitive information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") under this Agreement, including business plans, unpublished historical data, client lists, financial records, and proprietary research methodologies.
5.2 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without duty of confidentiality.
5.3 Obligation of Confidentiality. The Receiving Party shall hold all Confidential Information in strict confidence, shall use it solely for the purpose of performing its obligations under this Agreement, and shall not disclose it to any third party except to its employees, legal counsel, and academic consultants who have a need to know and are bound by confidentiality obligations at least as restrictive as those contained herein.
5.4 Compelled Disclosure. If the Receiving Party is legally compelled by subpoena, court order, or regulatory agency to disclose any Confidential Information, it shall provide prompt written notice to the Disclosing Party (where legally permitted) to enable the Disclosing Party to seek a protective order.
Section 6. Representations & Warranties
6.1 Researcher Warranties. The Researcher represents and warrants that:
- (a) The Researcher possesses the requisite academic qualifications, licensing, and expertise to perform the Services;
- (b) All Deliverables shall be original works of the Researcher and shall not infringe upon, misappropriate, or violate any copyright, trademark, patent, trade secret, or privacy right of any third party; and
- (c) The Researcher shall comply with all applicable local, state, and federal laws and archival regulations while executing the Services. 6.2 Client Warranties. The Client represents and warrants that:
- (a) It has full power and corporate authority to enter into and execute this Agreement; and
- (b) The provision of funds and instructions to the Researcher complies with all applicable laws and regulations.
Section 7. Limitation of Liability & Indemnification
7.1 Limitation of Liability. Except for liability arising from breaches of confidentiality (Section 5) or intellectual property indemnification, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with this Agreement, even if advised of the possibility of such damages.
7.2 Cap on Liability. The total aggregate liability of either party arising out of or relating to this Agreement, under any legal theory (contract, tort, negligence, or otherwise), shall be strictly limited to the total Contract Price actually paid or payable by the Client to the Researcher under this Agreement.
7.3 Indemnification. Each party (the "Indemnifying Party") agrees to defend, indemnify, and hold harmless the other party, its officers, directors, agents, and employees from and against any third-party claims, liabilities, losses, damages, or reasonable attorney's fees arising out of the Indemnifying Party’s material breach of this Agreement, gross negligence, or willful misconduct.
Section 8. Dispute Resolution & Arbitration
8.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the authorized representatives of the parties shall first attempt in good faith to resolve the dispute through direct business negotiation for a period of thirty (30) calendar days.
8.2 Binding Arbitration. If the dispute remains unresolved following the negotiation period, the dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
Section 9. Governing Law & Jurisdiction
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.
9.2 Jurisdiction. Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County County, State] for any legal action or proceeding arising out of this Agreement.
Section 10. Miscellaneous
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
10.2 Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution may be accomplished via facsimile or electronic signature (e.g., DocuSign, Adobe Sign).
