3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement of Institution. The Candidate hereby engages the Institution to provide academic supervision, administrative support, resource allocation, and structural framework review for the development and execution of the Candidate's doctoral research proposal (the "Research Proposal"), titled provisionally as [Provisional Research Title] (the "Project").
1.2 Deliverables. The Institution shall oversee the preparation, drafting, structural refinement, and ultimate defense of the Research Proposal in accordance with the milestones outlined in Exhibit A attached hereto.

1.4 Unilateral Modification. No material modification to the Scope of Services set forth herein shall be binding upon either Party unless executed in a written amendment signed by authorized representatives of both the Institution and the Candidate.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Compensation. In consideration for the academic oversight, resource allocation, and administrative services provided by the Institution, the Candidate (or designated third-party sponsor) shall pay to the Institution the total sum of [Amount in USD] USD (the "Engagement Fee"), payable in accordance with the milestone schedule set forth in Exhibit B.
2.2 Invoicing. The Institution shall issue formal invoices to the Candidate upon the achievement of each contractual milestone. Invoices shall be due and payable within thirty (30) calendar days from the date of receipt by the Candidate.
2.3 Late Interest. Any undisputed invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date paid in full.
2.4 Taxes. All fees and compensation specified herein are exclusive of all applicable federal, state, municipal, or other governmental sales, use, value-added, or similar taxes. The Candidate shall be solely responsible for the payment of all such taxes levied upon or arising from the transactions contemplated under this Agreement, excluding taxes based solely on the Institution’s net income.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Project and the formal approval of the Research Proposal by the institutional review committee, or until terminated earlier in accordance with this Section 3 (the "Term"). 3.2 Termination for Convenience. The Institution may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing sixty (60) calendar days prior written notice to the Candidate. Upon such termination, the Candidate shall be responsible for all pro-rata fees and non-cancellable commitments incurred by the Institution up to the effective date of termination. 3.3 Termination for Cause. SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Background IP. Each Party shall retain all right, title, and interest in and to any intellectual property, proprietary data, algorithms, software, know-how, or methodologies owned or controlled by such Party prior to the Effective Date or developed independently of this Agreement ("Background IP"). 4.2 Work Made for Hire. To the maximum extent permitted by applicable law, all research proposals, drafts, data sets, inventions, discoveries, manuscripts, and other works of authorship conceived, developed, or reduced to practice by the Candidate in connection with the Project (collectively, the "Project IP") shall be deemed a "work made for hire" for the Institution, provided that such works are created within the scope of the academic engagement. 4.3 Assignment of Rights. SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means any proprietary or non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") relating to the Project, research data, formulas, trade secrets, business plans, financial data, or unpublished academic research, whether communicated orally, visually, or in writing, and marked as "Confidential" or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. 5.2 Obligations of Non-Disclosure. The Receiving Party shall hold the Disclosing Party’s Confidential Information in strict confidence, shall use at least the same degree of care it uses to protect its own confidential information of like character (but in no event less than a reasonable degree of care), and shall not disclose such Confidential Information to any third party, except to its directors, officers, employees, faculty advisors, and legal counsel who have a need to know such information for the purposes of this Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without an obligation of confidentiality; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party’s Confidential Information; or (d) is rightfully received from a third party without restriction on disclosure. 5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, THE INSTITUTION PROVIDES ITS SERVICES, ADMINISTRATIVE SUPPORT, AND ACADEMIC OVERSIGHT ON AN "AS-IS" BASIS. THE INSTITUTION EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY, ITS OFFICERS, DIRECTORS, FACULTY, EMPLOYEES, OR AGENTS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF ACADEMIC STANDING, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. THE INSTITUTION’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY THE CANDIDATE TO THE INSTITUTION UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Indemnification by Candidate. The Candidate agrees to defend, indemnify, and hold harmless the Institution, its officers, trustees, faculty, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, grants, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any material breach of this Agreement by the Candidate; (b) any violation of applicable laws, regulations, or institutional ethics protocols by the Candidate; or (c) any allegation that the Research Proposal or Project IP infringes or misappropriates the intellectual property rights of any third party.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, termination, or validity (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through amicable negotiations between authorized representatives of the Parties for a period of thirty (30) calendar days from receipt of written notice of the Dispute.
8.2 Binding Arbitration. If the Dispute is not resolved through good faith negotiations within the thirty (30) day period, the Dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with such rules.
8.3 Location and Language. The place of arbitration shall be [City, State], and all proceedings, hearings, and submissions shall be conducted in the English language.
8.4 Arbitrator’s Award. The award rendered by the arbitrator shall be final and binding upon both Parties, and judgment upon the award may be entered in any court of competent jurisdiction. SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Jurisdiction], without regard to its conflict of laws principles.
9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County], [State/Jurisdiction], for any legal action, suit, or proceeding arising out of or relating to this Agreement.
SECTION 10: MISCELLANEOUS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed stricken, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures delivered by facsimile, PDF, or electronic signature platforms (such as DocuSign or Adobe Sign) shall be deemed legally binding and fully enforceable. 10.3 Entire Agreement. This Agreement, including any attached exhibits and schedules, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written understandings, negotiations, representations, and agreements between the Parties with respect to the subject matter. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, epidemic, pandemic, government restrictions, utility failures, or other causes beyond the reasonable control of the affected Party.
