3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES / ENGAGEMENT

1.1 Engagement. Client hereby engages Provider, and Provider accepts such engagement, to perform the research, analytical, and literature review services detailed in this Agreement and in any mutually executed Statement of Work (each, an "SOW") issued hereunder (collectively, the "Services").

1.2 Deliverables. Without limiting the generality of the foregoing, the primary deliverable under this initial engagement shall be a comprehensive research proposal and systematic literature review example, titled [Insert Exact Project Title or "Comprehensive Literature Review on [Topic]"] (the "Deliverables"). The scope includes, but is not limited to:

  • Formulating systematic research questions and search parameters across recognized academic and empirical databases (e.g., PubMed, IEEE, JSTOR).
  • Screening, abstracting, and synthesizing peer-reviewed literature.
  • Performing methodological quality appraisals.
  • Delivering a fully formatted, publication-ready research proposal and literature review report in accordance with the milestones outlined in Schedule A.

1.3 Standard of Performance. Provider shall perform the Services in a professional, workmanlike manner, in accordance with industry standards, academic rigor, and applicable ethical and legal guidelines. Provider warrants that its personnel possess the requisite skills, training, and background to execute the Services effectively.

1.4 Client Cooperation. Client shall provide timely access to necessary documentation, background materials, and designated personnel required for Provider to perform the Services. Delays caused by Client's failure to provide required information shall extend corresponding delivery deadlines proportionately.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Fees. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total fixed fee of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Schedule B attached hereto.

2.2 Invoicing & Payment Schedule. Provider shall issue invoices to Client upon the completion and acceptance of each milestone, or on a monthly basis for time-and-materials engagements, as specified in the applicable SOW. All invoices are due and payable in net thirty (30) days from the date of receipt by Client.

2.3 Late Payment & Interest. Any undisputed amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. Provider reserves the right to suspend performance of Services under this Agreement or any SOW if any invoice remains unpaid for more than fifteen (15) days past its due date.

2.4 Expenses. Client shall reimburse Provider for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred in connection with the performance of the Services (including specialized database access fees or travel), provided that Provider submits itemized receipts and supporting documentation.

2.5 Taxes. The fees and charges set forth in this Agreement are exclusive of all sales, use, value-added, excise, and similar taxes. Client shall be solely responsible for payment of all such taxes, excluding taxes based solely on Provider's net income.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and delivery of all Deliverables, unless earlier terminated in accordance with the provisions of this Section 3 (the "Term").

3.2 Termination for Convenience. Client or Provider may terminate this Agreement, in whole or in part, at any time for any reason or no reason, upon providing thirty (30) days prior written notice to the other Party. Upon such termination, Client shall pay Provider for all Services performed and expenses incurred up to the effective date of termination, calculated on a pro-rata basis, plus any non-cancellable commitments incurred by Provider.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party:

  • Materially breaches any representation, warranty, or obligation under this Agreement and fails to cure such material breach within thirty (30) days after receipt of written notice specifying the breach; or
  • Files a petition for bankruptcy, undergoes liquidation, makes an assignment for the benefit of creditors, or has a receiver appointed for its assets.

3.4 Effect of Termination. Upon termination of this Agreement for any reason:

  • Provider shall promptly cease all performance of the Services.
  • Client shall pay all outstanding invoices for Services rendered prior to the effective date of termination.
  • Each Party shall promptly return or destroy (and certify destruction of) all Confidential Information belonging to the other Party in accordance with Section 5.

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

4.1 Work Made for Hire. To the maximum extent permitted by applicable law, all custom written Deliverables, reports, data compilations, and specific research findings generated by Provider exclusively for Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed "work made for hire" for Client. Client shall exclusively own all right, title, and interest, including all copyright, patent, trade secret, and other intellectual property rights therein, worldwide.

4.2 Assignment of Rights. To the extent that any Work Product does not qualify legally as a "work made for hire," Provider hereby irrevocably, absolutely, and unconditionally assigns, transfers, and conveys to Client all right, title, and interest in and to such Work Product, including all intellectual property rights therein, free and clear of all liens, encumbrances, and claims.

4.3 Pre-Existing IP & Tools. Notwithstanding anything to the contrary herein, Provider retains sole and exclusive ownership of all pre-existing methodologies, proprietary research frameworks, software, databases, templates, algorithms, and general know-how owned or developed by Provider prior to the Effective Date or independently of this Agreement ("Provider Background IP"). Provider hereby grants Client a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, and incorporate Provider Background IP solely to the extent necessary to utilize the Deliverables.

4.4 Further Assurances. Provider agrees to execute, acknowledge, and deliver any further documents, assignments, and instruments, and to perform any acts reasonably requested by Client, at Client's expense, to perfect, register, or protect Client’s intellectual property rights in the Work Product.

The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use the same degree of care it uses to protect its own confidential information (but not less than a reasonable degree of care), and shall not disclose such Confidential Information to any third party, except to its employees, legal counsel, and contractors who have a need to know such information and who are bound by confidentiality obligations at least as restrictive as those contained herein.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, it shall provide prompt prior written notice to the Disclosing Party (where legally permissible) to enable the Disclosing Party to seek a protective order or other appropriate remedy.

6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROVIDER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIALITY), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, OR GROSS NEGLIGENCE / WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF REVENUE, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL OR EQUITABLE THEORY (INCLUDING BREACH OF CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.3 Client Indemnification. Client agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from:

  • The use, publication, or commercialization of the Deliverables by Client or its affiliates in a manner not authorized by this Agreement.

7.4 Provider Indemnification. Provider agrees to defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from:

  • Provider’s gross negligence or willful misconduct in the performance of the Services; or
  • Any claim that the Work Product provided by Provider directly infringes any valid United States copyright, trademark, or trade secret.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve such dispute through amicable negotiations between designated executive representatives of each Party for a period of thirty (30) days.

8.2 Binding Arbitration. If the dispute cannot be resolved through negotiations pursuant to Section 8.1, the dispute shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with such rules. Judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

8.3 Injunctive Relief. Nothing in this Section 8 shall prevent either Party from seeking preliminary injunctive relief or other equitable remedies from a court of competent jurisdiction to protect its Confidential Information or intellectual property rights pending the constitution of the arbitral tribunal.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles.

SECTION 10: MISCELLANEOUS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by facsimile, email (PDF), or digital signature platform (e.g., DocuSign) shall be equally effective as delivery of an original manually executed counterpart.

10.3 Entire Agreement. This Agreement, together with any SOWs, exhibits, and schedules attached hereto, constitutes the sole and entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

10.4 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by an authorized representative of each Party. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.

10.5 Assignment. Neither Party may assign, delegate, or transfer this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Party; provided, however, that either Party may assign this Agreement without consent to a successor in interest by way of merger, acquisition, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void.

10.6 Force Majeure. Neither Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national emergency, epidemic, pandemic, embargoes, or other acts beyond the reasonable control of the impacted Party.
