3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Research Engagement

1.1 Engagement. The Sponsor hereby engages the Institution to perform, and the Institution hereby agrees to undertake, the research services described in the Honors Research Proposal attached hereto as Exhibit A (the "Services"). The Services shall be performed with the highest standards of academic and professional rigor, adhering strictly to the methodologies, timelines, and deliverables outlined therein. 1.2 Principal Investigator & Student Researcher. The Research Project shall be supervised by [Faculty Advisor Name] (the "Principal Investigator") and executed primarily by [Student Researcher Name] (the "Student Researcher") in fulfillment of institutional honors requirements. The Institution reserves the right to substitute personnel in the event of incapacitation, termination, or departure, provided that any substitute possesses equivalent academic and technical competence. 1.3 Modifications to Scope. Any material alteration, expansion, or reduction in the scope of the Services shall require a formal written amendment executed by the authorized representatives of both Parties (a "Change Order"). Neither Party shall be bound by any oral modifications or informal communications regarding scope adjustments.

Section 2. Compensation & Payment Terms

2.1 Total Consideration. In consideration for the full and faithful performance of the Services, the Sponsor shall pay to the Institution the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Exhibit B. 2.2 Invoicing. The Institution shall issue invoices to the Sponsor upon the achievement of specific project milestones or on a calendar-monthly basis, as specified in Exhibit B. Each invoice shall include reasonable documentation verifying the completion of the applicable milestone or operational hours. 2.3 Payment Due Date. All undisputed invoice amounts shall be due and payable within thirty (30) calendar days of the invoice receipt date (the "Due Date"). Payment shall be made via wire transfer or ACH to the bank account designated in writing by the Institution. 2.4 Late Interest. Any payment not received by the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until paid in full. 2.5 Taxes. The Contract Price is exclusive of all applicable federal, state, and local sales, use, value-added, and excise taxes. The Sponsor shall be solely responsible for the payment of all such taxes, excluding taxes levied upon the net income of the Institution.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services and delivery of the final honors research report, or until [End Date], whichever occurs first, unless earlier terminated in accordance with this Section 3 (the "Term"). 3.2 Termination for Convenience. The Sponsor may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing sixty (60) calendar days' prior written notice to the Institution. Upon receipt of such notice, the Institution shall immediately cease all non-essential research activities and take all reasonable steps to mitigate costs. 3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any representation, warranty, or operative clause of this Agreement and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the breach; (b) files a petition in bankruptcy, becomes insolvent, or makes an assignment for the benefit of creditors; or (c) dissolves, liquidates, or ceases normal business operations. 3.4 Effect of Termination. Upon termination of this Agreement for any reason: (a) the Sponsor shall promptly pay the Institution for all Services rendered and non-cancelable commitments incurred up to the effective date of termination; (b) each Party shall return or securely destroy all Confidential Information of the other Party in its possession; and (c) sections governing Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law shall survive indefinitely.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Background IP. Each Party shall retain sole and exclusive ownership of all intellectual property, proprietary technologies, algorithms, data sets, and know-how that it owned or independently developed prior to the Effective Date or outside the scope of this Agreement ("Background IP"). Neither Party grants any license to its Background IP except as expressly provided herein. 4.2 Foreground IP & Academic Publication. All intellectual property, inventions, discoveries, copyrightable works, data, and deliverables conceived, reduced to practice, or authored in the direct execution of the Services (the "Foreground IP") shall be owned by the Institution, subject to academic publishing rights. In accordance with academic standards and the pursuit of institutional honors, the Student Researcher and Principal Investigator retain the perpetual, irrevocable right to publish, present, or teach the research findings, subject to the review provisions in Section 5. 4.3 License to Sponsor. The Institution hereby grants to the Sponsor a [Exclusive/Non-Exclusive], [Worldwide/Regional], [Royalty-Free / Royalty-Bearing] license to utilize the Foreground IP for internal commercial and research purposes, subject to the financial terms set forth in Exhibit C.

Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without an obligation of confidentiality; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without restriction. 5.3 Obligations of Confidentiality. The Receiving Party shall protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information (but not less than a reasonable degree of care), shall not disclose it to any third party except to its employees, legal counsel, and academic advisors who have a need to know and are bound by equivalent confidentiality obligations, and shall use it solely for the performance of rights and obligations under this Agreement. 5.4 Publication Review Window. The Sponsor acknowledges the academic nature of the Research Project. Prior to the public submission, presentation, or publication of any thesis, paper, or research findings derived from the Services, the Institution shall provide the Sponsor with a copy of the proposed publication. The Sponsor shall have thirty (30) calendar days to review the material for the sole purpose of identifying and requesting the redaction of patentable Sponsor Confidential Information. Each Party (the "Indemnifying Party") agrees to defend, indemnify, and hold harmless the other Party, its officers, directors, faculty, students, employees, and agents (the "Indemnified Parties") from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from the Indemnifying Party's gross negligence, willful misconduct, or material breach of this Agreement.
