This guide provides instructions for the legal, procurement, and contract operations teams to complete and execute this RFP document:

Step 1: Populating Variable Fields

Open this template in Microsoft Word, Google Docs, or an enterprise contract lifecycle management (CLM) platform. Use the global search and replace function to identify and complete every standardized bracketed field, including:

  • [Company Full Legal Name] — Exact legal name on corporate registration documents.
  • [Effective Date] — The date this RFP is formally released to market.
  • [Governing Jurisdiction] — Desired state law and venue (typically the Company’s primary operating state).
  • [Procurement Officer Name / Email Address] — The single point of contact for all bidder communication.
  • [Amount in USD] — Complete every line item in the Pricing Matrices (Section 5) and the minimum insurance thresholds (Section 6.2).

Step 2: Verification of Signatory Authority

Before executing this document or receiving signed bidder submissions:

  • Confirm that the individuals signing have documented corporate authority.
  • For the Company, execution should be handled by a corporate officer (such as the CFO, VP of Finance, or General Counsel).
  • For the Bidder, require that execution be handled by an executive officer (CEO, President, CFO, or authorized VP), or obtain a formal Secretary’s Certificate confirming delegation of authority.

Step 3: Distribution, Non-Disclosure Tracking, and Electronic Execution

  • Distribute the completed RFP to prospective vendors through a secure enterprise procurement portal or encrypted email.
  • Require Bidders to execute the document via an enterprise e-signature platform (such as DocuSign, Adobe Sign, or PandaDoc) compliant with the ESIGN Act and UETA.
  • Ensure the signature workflow automatically routes a counter-signed copy back to the Bidder while routing the fully executed original into the procurement system.

Step 4: Secure Record Retention and Audit Logging

  • Save the fully executed PDF, along with its time-stamped digital signature audit certificate, in a secure, access-restricted repository.
  • Retain the complete file for at least seven (7) years following the conclusion of any resulting contract, to satisfy IRS audit requirements and applicable state statutes of limitations.
