3. RECITALS

4. OPERATIVE CLAUSES & TERMS

SECTION 1: GRANT OF LICENSE

1.1 Scope. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to access, download, and utilize the Digital Asset identified in Schedule A solely for the permitted use cases expressly authorized herein. 1.2 Platform Compliance. SECTION 5: INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership. All right, title, and interest in and to the Digital Asset, including all intellectual property rights therein, remain exclusively with the Licensor. Nothing in this Agreement transfers ownership of the Digital Asset to Licensee.

SECTION 6: DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

6.1 "As-Is" Basis. The Digital Asset is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 6.2 Limitation of Liability. In no event shall Licensor be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement or the use of the Digital Asset, even if advised of the possibility of such damages.
